These Terms and Conditions ("Terms") govern your use of the website amnayalife.com (the "Website") and the purchase and use of any online courses, services, products, and free or paid programs, including but not limited to the "90-Day International Life After Work: From Fear to Confident English Speaking" practical course, English Speaking Course Accelerator plans, Amnaya Life courses, community memberships, and other related services (collectively, the "Products") offered by Amnaya Life LLC, a Wyoming limited liability company ("Amnaya Life," "we," "us," or "our").

By accessing the Website and/or purchasing or using any of our Products, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms or our Privacy Policy, you must immediately cease using our Website and Products.

Official Language:
These Terms are written in English. Any translation of these Terms is provided for convenience only. In the event of a conflict or discrepancy between the English version and any translated version, the English version shall prevail.

1. Governing Law and Jurisdiction

These Terms and your use of our Products shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. You irrevocably agree that the state and federal courts located in Wyoming shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or your use of our Products. The choice of Wyoming law is exclusive, and no other jurisdiction's laws, including any local laws of your country of residence, shall apply.

2. Eligibility and Account Registration

To purchase or access our Products, you must be at least 18 years of age or the age of majority in your jurisdiction. By purchasing or accessing our Products, you represent and warrant that you meet this eligibility requirement. We reserve the right to terminate your access to our Products if we discover that you are a minor.

To access certain features of our Products, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Payments, Billing, and Refund Policy

3.1. Fees and Payment Authorization

All fees for our Products are in U.S. Dollars unless otherwise stated. You authorize us to charge your selected payment method for all applicable fees. You are responsible for all charges incurred under your account, including applicable taxes, and you agree to pay all such charges in full.

You represent and warrant that you are the authorized user of the payment method used to purchase our Products. If you use a payment method that is not in your name, you represent and warrant that you have the express authorization of the account holder to use it.

3.2. English Speaking Course Accelerator Plans

3.2.1. Plan Descriptions

To help you understand the products and services offered by Amnaya Life, the following definitions apply throughout these Terms:

The Course refers to the "90-Day International Life After Work: From Fear to Confident English Speaking" pre-recorded online course. This is a self-paced video course designed to help you build English speaking confidence.

Global Voice Club refers to our live online English speaking practice classes, held weekly and led by instructors in a group setting. Global Voice Club operates as a recurring subscription service.

English Speaking Course Accelerator refers to the package that includes the Course along with complimentary access to Global Voice Club for an initial 3-month period. When you purchase an English Speaking Course Accelerator plan, your purchase covers the Course; access to Global Voice Club live classes is included at no additional cost for the first 3 months. By purchasing an Accelerator plan, you are automatically enrolled in the Global Voice Club subscription. The initial 3-month period is complimentary; thereafter, the subscription will automatically renew as a paid subscription unless cancelled in accordance with Section 3.2.5.

English Speaking Course Accelerator is offered in two plans:

・Accelerator Pro: Includes the Course with indefinite access, plus complimentary access to Global Voice Club live classes for 3 months (2 classes per week, 24 classes total), along with any additional bonus resources specified at the time of purchase.

・Accelerator Lite: Includes the Course with 10-month access, plus complimentary access to Global Voice Club live classes for 3 months (1 class per week, 12 classes total), along with any additional bonus resources specified at the time of purchase.

Any additional bonus resources specified at the time of purchase are provided as complimentary items included with your package.

3.2.2. Course Access Duration

Amnaya Life reserves the right to modify, replace, or discontinue course content, features, or platform services when necessary.

・Accelerator Pro: Indefinite access to the pre-recorded course content for as long as the course remains available on the Amnaya Life platform, and subject to these Terms. If Amnaya Life permanently discontinues the course, Pro users will receive at least thirty (30) days' advance notice and will be given the opportunity to download available course materials prior to discontinuation.

・Accelerator Lite: Access to the pre-recorded course content for 10 months from the date of purchase. After 10 months, course access will expire automatically.

3.2.3. Global Voice Club Class Access

Global Voice Club live classes are scheduled weekly. Your plan determines the number of classes you may attend per week:

Accelerator Pro: Up to 2 classes per week.
Accelerator Lite: Up to 1 class per week.

If you are unable to attend a scheduled live class, recorded versions of the classes will be made available for you to watch at your convenience.

3.2.4. Automatic Renewal of Global Voice Club Subscription

Your Accelerator plan includes a complimentary 3-month Global Voice Club access period. At the end of this initial complimentary period, your Global Voice Club subscription will automatically renew as a paid subscription. By purchasing an Accelerator plan, you acknowledge and authorize us to automatically charge the applicable renewal fee to your selected payment method upon expiration of the complimentary period and at the end of each subsequent 3-month subscription period thereafter. The renewal fee will be the same amount as your initial Accelerator package purchase price — which already reflects a discounted rate that includes Global Voice Club access — and will provide continued access to Global Voice Club live classes for an additional 3-month period based on the same plan tier (Pro or Lite) you originally purchased. For clarity, the renewal charge is for the continuation of your Global Voice Club subscription service; it does not constitute a new purchase of the pre-recorded course.

Upon renewal, course access terms remain unchanged (indefinite access for Pro; subject to the original 10-month expiration for Lite).

3.2.5. Cancellation of Global Voice Club Subscription

You may cancel your Global Voice Club subscription at any time. Cancellation must be done by the user through the Amnayalife client-portal only, which can be accessed via: https://pay.amnayalife.com/p/login/dRm4gy5cycuQ0drfbx04800. To avoid being charged when your subscription transitions from the complimentary period to a paid subscription, or to avoid being charged for subsequent renewal periods, cancellation must be completed prior to the day of your scheduled renewal date.

Upon cancellation of the Global Voice Club subscription:

If cancelled during the initial complimentary period: your access to Global Voice Club live classes will continue until the end of the 3-month complimentary period. No charges will be applied.

If cancelled during a paid subscription period: your access to Global Voice Club live classes will continue until the end of your current paid subscription period.

In either case, your access to the pre-recorded course content will remain active according to your plan terms (indefinite access for Pro; until the 10-month expiration for Lite).

Once a renewal payment has been processed, it is final and non-refundable. You may cancel your subscription at any time to prevent future renewal charges, but no refund will be issued for any billing period that has already been charged.

3.3. Refund Policy

Amnaya Life is committed to providing high-quality digital learning resources while respecting the rights and interests of every student. To ensure fairness for our platform and other users, we establish the following refund policy, with specific terms for each product offering:

3.3.1. For the "90-Day International Life After Work: From Fear to Confident English Speaking" Course (including when the course is provided as part of an English Speaking Course Accelerator plan)

Effective April 10, 2026, the refund policy for this course has been updated. Section 3.3.1.A below applies to all purchases made on or after April 10, 2026. Section 3.3.1.B applies to purchases made before April 10, 2026.

3.3.1.A. Peace of Mind Purchase Refund Policy — 安心購・條件內退款規範 (Effective for purchases made on or after April 10, 2026)

The following refund provisions apply to all purchases of the Course or English Speaking Course Accelerator plan made on or after April 10, 2026, whether the Course is purchased individually or as part of an English Speaking Course Accelerator plan. If you have a refund-related request, please read the following provisions carefully:

▶ Refund Eligibility

To be eligible for a refund, all of the following conditions must be met:

The refund request is submitted within 7 calendar days of purchase (the purchase date counts as Day 1).

You have viewed no more than 3 paid content items from the pre-recorded course.

If your purchase includes an English Speaking Course Accelerator plan, you have attended no more than 1 live class.

If all conditions above are met, you are eligible for a full refund of the purchase amount, subject to applicable deductions as described below.

8 or more days after purchase: no refund is available under any circumstances.

Because a substantial amount of free preview videos and educational materials are provided prior to purchase, and because online video courses and digital resources can be easily downloaded and stored, they constitute "digital content not provided through tangible media or online services completed upon delivery." As such, they are not subject to the standard 7-day cooling-off period applicable to physical goods. All refund procedures will be handled in accordance with this Refund Policy.

▶ Global Voice Club Live Classes (真人實戰課)

Access to Global Voice Club live classes during the initial 3-month complimentary period is provided at no additional cost as part of your Accelerator purchase. Because this access is complimentary, no separate refund applies to the Global Voice Club component. Once the complimentary period ends and the subscription transitions to a paid subscription, all paid subscription fees are non-refundable once processed.

▶ Effect of Course Refund on Accelerator Plans

If a refund is approved for an English Speaking Course Accelerator plan (Pro or Lite), all access — including the pre-recorded course, complimentary Global Voice Club live classes, and any bonus resources — will be immediately revoked upon processing of the refund. The Global Voice Club subscription enrollment will also be cancelled.

▶ Subscription Renewal Charges

All Global Voice Club subscription renewal charges (i.e., any charges incurred after the initial complimentary period), once processed, are final and non-refundable. Renewal charges are for the continuation of the Global Voice Club subscription service and are separate from the initial course purchase. If you no longer wish to continue your subscription, you must cancel prior to the day of your next scheduled renewal date through the Amnayalife client-portal as described in Section 3.2.5.

｜Refund Processing Fee｜

Upon refund approval, the refund amount will be processed within 14 business days. A 4% processing fee will be automatically deducted from all refunds. This fee covers the necessary costs incurred by third-party payment processors during the payment and refund process, and is not an additional fee charged by the platform.

｜Refund Calculation｜

The refund amount is calculated as the Order Amount (the amount actually paid) minus the 4% processing fee.

｜Refund Timeline｜

The time for students to receive their refund may vary depending on the refund application date and payment method used. Refunds involve third-party payment processors and banking institutions, whose processing times may differ.

Customer service will process your request during business hours.

3.3.1.B. Legacy 30-Day Satisfaction Guarantee (For purchases made before April 10, 2026)

The following 30-Day Satisfaction Guarantee applies only to purchases of the "90-Day International Life After Work: From Fear to Confident English Speaking" course and/or English Speaking Course Accelerator plans made before April 10, 2026. For purchases made on or after April 10, 2026, please refer to Section 3.3.1.A above.

This 30-day "satisfaction guarantee mechanism" applies to the course and English Speaking Course Accelerator plans (Pro or Lite) purchased before April 10, 2026, and is available only to students who have completed all pre-recorded course modules content and assigned exercises, and still believe the course did not meet their expected outcomes.

Eligibility Requirements: Students who have fully participated in and completed all course modules and assigned exercises after purchase, but still believe the course failed to achieve expected results, may submit a refund request within the specified time limit.

Applications must include:

Complete and specific course learning records (including 100% viewing progress, interaction records, etc.)

All assigned exercise content (must be completed and submitted to the course platform prior to submitting the refund request)

Course completion certificate (or system records)

Clear and reasonable explanation of dissatisfaction

Complete refund application form provided by customer service

Refund requests must be submitted via email to [email protected] within 30 days of purchase with all required documentation. Applications without complete documentation will not be processed.

Effect of Refund on Accelerator Plans: If a refund is approved for a purchase made under an English Speaking Course Accelerator plan (Pro or Lite), all access — including the pre-recorded course, complimentary Global Voice Club live classes, and any bonus resources — will be immediately revoked upon processing of the refund. The refund covers the entire purchase amount (less applicable fees). The Global Voice Club subscription enrollment will also be cancelled.

Processing Timeline: Refunds will be reviewed within 14 business days. Upon approval, refund amounts will be processed within 14 business days, less a 4% bank transaction fee to cover processing costs.

Quality Assurance and Disqualifying Conditions: To ensure the legitimacy and integrity of our refund mechanism, the following circumstances will be considered ineligible for refunds, and Amnaya Life reserves the right to reject such applications:

Students who complete over 80% of course content within 7 days of purchase and lack continuous interaction records (such as not participating in course platform or designated community discussions, questions, or assignment discussions), or whose exercise content is obviously perfunctory, repetitive, superficial, and fails to meet substantial learning standards.

Students who never submitted practice assignments or interacted normally on official designated community platforms (such as course-specific groups) during the course period, but concentrated on submitting large amounts of assignments or practice content in a short time when applying for refunds — including but not limited to submitting more than five assignments within 24 hours before submitting the refund request — will be considered a formalistic act to meet refund conditions, and Amnaya Life reserves the right to determine that they did not substantially participate in learning and directly refuse refunds.

Viewing records showing extensive use of accelerated playback, skipping chapters, or only briefly fast-forwarding to the end of videos, with total viewing time clearly insufficient to complete normal learning processes.

Submitted assignment content that does not meet course requirements, is plagiarized, machine-translated, or fails to demonstrate personal learning progress.

Inability to supplement or provide reasonable and complete learning certification documents within the timeframe required by Amnayalife.

Students with multiple refund applications, abnormal consumption records, or other circumstances deemed by Amnayalife as abuse of the refund mechanism may have their refund applications rejected and may be permanently disqualified from future course purchases.

Amnayalife will conduct comprehensive reviews based on course platform records, community interaction records, practice assignment content, viewing behavior, and other multiple factors, and reserves full discretionary authority for final judgment of refund eligibility and amount approval.

Based on principles of good faith and experience protection, Amnayalife provides satisfaction guarantees as additional services, not legal obligations.

3.3.2. Payment Processing

All payments for Amnaya Life products and services are processed through Stripe, a third-party payment processor. When you make a purchase, your payment card information is collected and stored directly by Stripe in accordance with Stripe's security standards and policies. Amnaya Life does not have access to your full card number, as this information is encrypted and handled entirely by Stripe.

All prices are listed and charged in United States Dollars (USD). If your payment card is linked to a currency other than USD, your card issuer or bank may apply international transaction fees or currency conversion charges. These fees are imposed by your financial institution and are not controlled by or affiliated with Amnaya Life. Please consult your card issuer for details regarding any such fees.

3.3.3. 7-Day Free Trial Policy

From time to time, we may offer a 7-day free trial for the 1-month Global Voice Club membership.

A. Trial and Automatic Billing

The trial period begins on the day you sign up. If you do not cancel within the 7-day trial period, you will be automatically charged on the 8th day. This payment activates a 1-month recurring membership subscription.

B. No Refunds After Trial Period

The charge processed after the 7-day free trial is non-refundable. The trial period serves as your opportunity to evaluate the service risk-free.

C. Recurring Charges and Cancellation

Following the initial charge, your 1-month membership will automatically renew and be billed every month. You may cancel the subscription at any time. Cancellation will prevent all future charges. If you cancel after a payment has been made, your access will continue until the end of the 1-month period you have paid for, at which point your access will be revoked.

3.3.4. Legal Basis and Special Declaration

For Course Products: This course is an online digital content product classified as "digital content not provided through tangible media." Digital purchases are considered delivered upon access and are not subject to any unconditional return or cooling-off period that may apply to physical goods.

For Subscription Products: This product falls under the category of "digital content not provided through tangible media." Once you have paid and activated your membership, contract fulfillment has begun, and no unconditional withdrawal right applies. No full or proportional refunds are available.

For Subscription Renewal Charges: Subscription renewal charges — whether for Global Voice Club or any other recurring service offered by Amnaya Life — are non-refundable once processed. By purchasing a product that includes a recurring subscription component, you acknowledge and agree that renewal charges will be automatically applied unless you cancel in accordance with the cancellation terms set forth in these Terms.

Based on principles of good faith and experience protection, Amnayalife provides satisfaction guarantees as additional services, not legal obligations.

3.3.5. General Refund Policy for Other Products

Due to the digital nature of our Products, which are delivered immediately upon purchase, we generally do not offer refunds except as expressly stated in specific product descriptions or as required by applicable law. Digital products cannot be "returned" in the traditional sense, as access and content have already been provided.

For the avoidance of doubt, subscription renewal charges for any recurring service (including but not limited to Global Voice Club) are not eligible for refund once the renewal payment has been processed, regardless of the product type or plan tier.

3.3.6. Refund Abuse Prevention

We reserve the right to refuse refunds if we detect abuse of our refund policy, including but not limited to:

Excessive refund requests from the same customer

Fraudulent activity or misrepresentation

Attempts to obtain refunds after substantial use of the product

Violation of our terms of use or intellectual property rights

Requesting refunds for subscription renewal charges that were clearly disclosed and agreed to at the time of initial purchase

Any violation of these Terms and Conditions, including but not limited to the intellectual property rights outlined in Section 4, will result in the immediate termination of your account and access to all Products without a refund.

All refund applications must undergo review procedures, and Amnayalife reserves final decision rights. If students disagree with refund decisions, they may communicate further through customer service email but may not demand additional compensation or damages.

All refund decisions are final and at the sole discretion of Amnayalife.

4. Intellectual Property and License to Use

4.1. Ownership

All content included in our Products, including but not limited to text, graphics, logos, images, videos, audio, and software, is the property of Amnaya Life or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The Amnaya Life name and logo are trademarks of Amnaya Life LLC.

4.2. License to Use

When you purchase a Product, you are granted a limited, non-exclusive, non-transferable license to access and use the Product for your personal, non-commercial use. This license does not grant you any ownership rights in the Product. You may not:

Resell, reproduce, distribute, or otherwise share the Product with any third party.

Modify, create derivative works of, or otherwise alter the Product.

Remove any copyright, trademark, or other proprietary notices from the Product.

Any unauthorized use of our content may result in the immediate termination of your access to our Products and may subject you to civil and criminal penalties.

5. DMCA Notice and Takedown Procedure

Amnaya Life respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, we will respond expeditiously to claims of copyright infringement committed using our Website that are reported to our Designated Copyright Agent.

If you are a copyright owner, or are authorized to act on behalf of one, please report alleged copyright infringements taking place on or through the Website by completing the following DMCA Notice of Alleged Infringement and delivering it to our Designated Copyright Agent.

DMCA Notice of Alleged Infringement:

Identify the copyrighted work that you claim has been infringed.

Identify the material that you claim is infringing and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.

OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAKE NO WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR PRODUCTS OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION PROVIDED THROUGH OUR PRODUCTS.

6.2. Limitation of Liability

IN NO EVENT SHALL AMNAYA LIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PRODUCTS, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR PRODUCTS, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR PRODUCTS BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE PRODUCTS.

7. Indemnification

You agree to indemnify, defend, and hold harmless Amnaya Life LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of our Products; (ii) your breach of these Terms; (iii) your violation of any applicable law or regulation; or (iv) your infringement of any intellectual property or other rights of any third party. This indemnification obligation shall survive the termination of these Terms and your use of our Products.

8. Privacy

We are committed to protecting your privacy. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose your personal information. Please review our Privacy Policy carefully.

9. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our Website. Your continued use of our Products after such notice constitutes your acceptance of the modified Terms.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to an event beyond the reasonable control of such party, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, labor strikes, internet service provider failures, power outages, or other similar events ("Force Majeure Event").

If a Force Majeure Event prevents or delays our performance of any obligation under these Terms for a period of more than thirty (30) consecutive days, either party may terminate the affected services upon written notice to the other party. In such cases, we will provide appropriate remedies as outlined in the specific product terms, including but not limited to subscription pauses, extensions, or pro-rated refunds where applicable.

We will make reasonable efforts to notify you of any Force Majeure Event that may affect our services and will work diligently to resume normal operations as soon as reasonably possible.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.

If the severance of any provision materially affects the fundamental purpose or structure of these Terms, the parties agree to negotiate in good faith to replace the severed provision with a mutually acceptable alternative.

13. Termination

13.1. Termination by Amnaya Life

We reserve the right to terminate or suspend your access to our Products immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

Violation of Intellectual Property Rights: Unauthorized use, reproduction, distribution, or sharing of our proprietary content, materials, or intellectual property.

Abusive Behavior: Harassment, threats, or abusive conduct toward our staff, instructors, or other users, whether through our platforms, email, social media, or any other communication channel.

Fraudulent Activity: Engaging in fraudulent transactions, providing false information, using unauthorized payment methods, or attempting to circumvent our payment systems.

Breach of Terms: Violation of any provision of these Terms and Conditions or our Privacy Policy.

Illegal Activity: Using our Products for any illegal purpose or in violation of any applicable laws or regulations.

Disruptive Behavior: Conduct that disrupts the learning environment, interferes with other users' experience, or damages the integrity of our educational community.

13.2. Effect of Termination

Upon termination:

Your access to all Products will be immediately revoked

You will forfeit any unused portion of paid services without refund, except as specifically provided in these Terms

All licenses granted to you under these Terms will immediately cease

You must cease all use of our intellectual property and delete any downloaded materials.

13.3. Survival

The following provisions shall survive termination of these Terms: intellectual property rights, limitation of liability, indemnification obligations, governing law, and any payment obligations incurred prior to termination.

14. Third-Party Platform Dependency (Global Voice Club)

14.1. Third-Party Service Provider

Global Voice Club utilizes a third-party software platform, to deliver live online classes and interactive learning experiences. Our ability to provide certain Global Voice Club services depends on the availability and functionality of this third-party platform.

14.2. Platform Interruptions and Service Adjustments

In the event that the third party platform experiences technical difficulties, outages, or becomes unavailable for any reason:

Immediate Response: We will pause all active Global Voice Club subscriptions during the period when the platform is unavailable. No subscription time will be counted during platform downtime, and your subscription period will be automatically extended to account for the interruption.

Communication: We will notify affected members via email and our website about any significant platform issues and provide regular updates on the status of service restoration efforts.

Extended Outages: If the third party platform remains unavailable for more than thirty (30) consecutive days, we will offer affected Global Voice Club members the following options:

Continued Subscription: Wait for platform restoration with subscription remaining paused (no time counted against your subscription period).

Partial Refund: Receive a pro-rated refund based on the remaining subscription time in your current billing cycle, calculated from the date you choose this option. The refund will exclude any time during which the platform was unavailable and your subscription was paused.

Refund Calculation Example: If you have a 3-month subscription with 60 days remaining when you choose the partial refund option, and the platform was down for 20 days (during which your subscription was paused), your refund would be calculated based on the 60 remaining days of active subscription time.

14.3. Alternative Service Delivery

During platform outages, we may, at our discretion, attempt to provide alternative learning opportunities such as: Recorded session access, Alternative platform solutions, Extended community support, Additional resources or materials.

However, we are not obligated to provide such alternatives, and they may not fully replicate the live interactive experience.

14.4. Limitation of Liability for Third-Party Services

While we will make reasonable efforts to ensure service continuity, we are not liable for any damages, losses, or inconvenience caused by third-party platform failures, outages, or discontinuation of services. Our liability is limited to the remedies specifically outlined in this section.

14.5. Platform Changes

If the third party platform discontinues its services permanently or we decide to change to a different platform provider, we will provide at least thirty (30) days' notice to Global Voice Club members and will offer appropriate transition options, which may include service migration, subscription transfers, or pro-rated refunds.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference herein, constitute the entire agreement between you and Amnaya Life with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, representations, agreements, and understandings, whether oral or written, between you and Amnaya Life regarding the Products. No statement, representation, warranty, or agreement made by any representative of Amnaya Life — whether in a webinar, social media post, email, customer service interaction, or any other communication — shall be binding upon Amnaya Life unless expressly set forth in these Terms.

為使您瞭解 Amnaya Life 所提供之產品與服務，以下定義適用於本條款全文：

課程（The Course）係指「90天國際職場生活：從恐懼到自信英語口說」預錄線上課程。此為自學式影片課程，旨在協助您建立英語口說信心。

Global Voice Club 係指我們的線上直播英語口說練習課程，由講師帶領，每週定期開課，以小組形式進行。Global Voice Club 以定期續訂制服務方式運作。

English Speaking Course Accelerator（英語口說實戰課程加速計畫）係指包含課程及首 3 個月免費使用 Global Voice Club 之方案。購買 English Speaking Course Accelerator 方案時，您的購買費用涵蓋課程本身；Global Voice Club 直播課程之使用權於首 3 個月期間以免費方式提供，無需額外付費。購買 Accelerator 方案即自動加入 Global Voice Club 訂閱。首 3 個月為免費期間；此後，除非依第 3.2.5 條取消，該訂閱將自動續訂為付費訂閱。

English Speaking Course Accelerator 提供兩種方案：

3.2.2. 課程使用期限

本平台得於必要時調整、更新、替換或停止部分課程內容、功能或服務。

・Accelerator Pro：預錄課程內容無限期使用，即課程於 Amnaya Life 平台上持續提供期間均可使用，並受本條款之規定。若 Amnaya Life 永久停止提供該課程，Pro 用戶將獲得至少三十（30）天之事先通知，並將有機會於停止提供前下載可用之課程資料。

・Accelerator Lite：預錄課程內容自購買日起可使用 10 個月。10 個月後，課程使用權將自動到期。

3.2.3. Global Voice Club 課程參與

Global Voice Club 線上直播課程每週固定開課。您所選方案決定每週可參加之課程堂數：

Accelerator Pro：每週最多 2 堂課。
Accelerator Lite：每週最多 1 堂課。

若您無法參加預定之直播課程，將提供課程錄影供您自行安排時間觀看。

3.2.4. Global Voice Club 訂閱自動續訂

您的 Accelerator 方案包含首 3 個月免費使用 Global Voice Club 之權利。免費期間屆滿後，您的 Global Voice Club 訂閱將自動續訂為付費訂閱。購買 Accelerator 方案即表示您知悉並授權本公司於免費期間屆滿時，以及此後每 3 個月訂閱期間結束時，自動向您所選付款方式收取續訂費用。續訂費用與您初次購買 Accelerator 方案時支付之金額相同——該金額已為包含 Global Voice Club 使用權之優惠價格——並將依您原購方案等級（Pro 或 Lite）提供額外 3 個月之 Global Voice Club 直播課程使用權。為明確起見，續訂費用係為延續您的 Global Voice Club 訂閱服務，並不構成預錄課程之新購買。

取消 Global Voice Club 訂閱後：

若於付費訂閱期間取消：您仍可使用 Global Voice Club 直播課程至當前已付訂閱期間結束。

無論何種情況，您的預錄課程使用權將依方案條款維持有效（Pro 為無限期使用；Lite 至 10 個月到期日止）。

續訂付款一經處理，即為最終且不可退款。您可隨時取消訂閱以防止未來續訂收費，但已收取之任何費用恕不退還。

本30天「滿意保證機制」（satisfaction guarantee mechanism）適用於2026年4月10日之前購買之課程及 English Speaking Course Accelerator 方案（Pro 或 Lite），僅限已完成全部預錄課程內容及所有指定作業練習，且仍認為課程未達預期效果之學生方可申請。

本機制僅適用於在期限內已完成全部預錄課程內容及所有指定作業練習，且仍認為課程未達預期效果之學生。

資格條件：購課後已完整參與並完成所有課程模組及指定練習，仍認為課程未達預期成效者，得於指定期限內提出退款申請。

申請時須附具：

・完整且具體之課程學習紀錄（包括100%觀看進度、課程平台之參與記錄等）

・所有指定練習內容（需於申請前已完成並上傳至課程平台繳交）

・課程完成證書（或系統紀錄）

・不滿意之明確且合理說明

・填寫由客服提供之完整退款申請表格

退款申請必須於購買日起30日內，透過電子郵件寄至 [email protected]，並附上所有必要文件。未附完整文件之申請將不予受理。

Accelerator 方案退款之效力：若依 English Speaking Course Accelerator 方案（Pro 或 Lite）購買之退款申請經核准，所有使用權——包括預錄課程、免費 Global Voice Club 直播課程及任何附贈資源——將於退款處理後立即撤銷。退款涵蓋全部購買金額（扣除適用手續費）。Global Voice Club 訂閱亦將一併取消。

處理時程：退款申請將於14個營業日內審核。經核准後，退款金額將於14個營業日內處理，並扣除4%銀行交易手續費以支付處理成本。

品質保證及不符合退款資格之情形：

為確保退款機制之合法性及完整性，以下情形將被視為不符合退款資格，Amnaya Life保留拒絕該等申請之權利：

・學員於購買後7日內完成超過80%課程內容，且缺乏持續上課互動紀錄（例如未參與課程平台或指定作業繳交、提問或作業討論），或其練習內容明顯敷衍、重複、膚淺，未達實質學習標準。

・學員於課程期間從未提交練習作業或正常互動於官方指定課程平台（如學員專屬群組），但於申請退款時短時間內集中提交大量作業或練習內容（包括但不限於於提交退款申請前 24 小時內一次性提交超過 5 份作業以上），該行為將視為形式主義以符合退款條件，Amnaya Life 保留判定其未實質參與學習並直接拒絕退款之權利。

・觀看紀錄顯示大量使用加速播放、跳章或僅短暫快轉至影片結尾，總觀看時間明顯不足以完成正常學習程序。

・提交之作業內容不符課程要求、抄襲、機器翻譯，或未能展現個人學習進度。

・未能於Amnaya Life要求之期限內補充或提供合理且完整之學習證明文件。

・學員有多次退款申請、異常消費紀錄或其他Amnaya Life認定為濫用退款機制之情形，將可能遭拒絕退款申請，並永久取消未來課程購買資格。

Amnaya Life將依據課程平台紀錄、社群互動紀錄、練習作業內容、觀看行為及其他多項因素進行綜合審核，並保留退款資格及金額核准之最終裁量權。

基於誠信原則及保障學習權益，Amnaya Life提供滿意保證作為附加服務，非法律義務。

3.3.2. 付款處理

Amnaya Life 所有產品及服務之付款均透過第三方付款處理商 Stripe 處理。當您進行購買時，您的付款卡資訊由 Stripe 依其安全標準及政策直接收集與儲存。Amnaya Life 無法存取您的完整卡號，該資訊由 Stripe 全程加密處理。

所有價格均以美元（USD）標示及收費。若您的付款卡所連結之貨幣非美元，您的發卡機構或銀行可能會收取國際交易手續費或貨幣兌換費用。該等費用由您的金融機構收取，與 Amnaya Life 無關，亦非由 Amnaya Life 控制。有關此類費用之詳情，請洽詢您的發卡機構。

3.3.3. 7天免費試用政策

不時地，我們可能會提供 Global Voice Club 1 個月會員資格之 7 天免費試用。

A. 試用期與自動扣款
試用期自您註冊當日開始。若您未於 7 天試用期內取消，系統將於第 8 天自動扣款。此筆付款即啟動 1 個月循環會員訂閱。

B. 試用期後不予退款
7 天免費試用期結束後所扣款項恕不退還。試用期係供您無風險評估本服務之機會。

C. 循環扣款與取消
首次扣款後，您的 1 個月會員資格將自動續約，並每月扣款一次。您可隨時取消訂閱。取消後將停止所有未來扣款。若您於付款後取消，您仍可使用至您已付費之 1 個月期限屆滿，屆時將終止您的使用權限。

3.3.4. 法律依據及特別聲明

針對課程產品：本課程為線上數位內容產品，歸類為「非透過有形媒介提供之數位內容」。數位商品於消費者取得存取權時即視為交付完成，不適用實體商品之任何無條件退貨或鑑賞期相關規定。

針對訂閱產品：本產品屬於「非透過有形媒介提供之數位內容」類別。消費者於付款並啟動會員資格後，即視為契約履行開始，無條件撤回權不適用。不提供全額或比例退款。

針對訂閱續訂費用：訂閱續訂費用——無論係 Global Voice Club 或 Amnaya Life 提供之任何其他定期續訂服務——一經處理即不予退款。購買包含定期續訂服務組成部分之產品，即表示您確認並同意續訂費用將自動收取，除非您依本條款規定之取消條款辦理取消。

基於誠信原則及保障消費者權益，Amnaya Life 提供滿意保證作為額外服務，非法律義務。

3.3.5. 其他產品一般退款政策

由於本公司產品具有數位性質，且於購買後即時交付，除非特定產品說明明確規定或適用法律另有要求，否則本公司一般不提供退款。數位產品無法以傳統方式「退貨」，因為使用權及內容已經提供。

所有退款申請皆須經審核程序，Amnaya Life保留最終決定權。若學員對退款決定有異議，得透過客服電子郵件進行進一步溝通，但不得要求額外賠償或損害賠償。

所有退款決定為最終決定，且由Amnaya Life全權酌情決定。

4. 智慧財產權與使用授權

4.1. 所有權

本公司產品中包含的所有內容，包括但不限於文字、圖形、標誌、影像、影片、音訊及軟體，均為Amnaya Life或其內容供應商之財產，並受美國及國際著作權、商標及其他智慧財產權法律之保護。Amnaya Life名稱及標誌為Amnaya Life LLC之商標。

在任何情況下，Amnaya Life 及其高級職員、董事、員工或代理人，均不對您因下列任何情形所致之任何直接、間接、附帶、特殊、懲罰性或衍生性損害負責：(I) 內容之錯誤、失誤或不準確；(II) 因您使用及存取本公司產品所致之任何性質之人身傷害或財產損害；(III) 任何未經授權存取或使用本公司安全伺服器及/或其中所存放之任何及所有個人資訊及/或財務資訊；(IV) 任何對本公司產品之傳輸中斷或停止；(V) 任何由第三方傳輸至或透過本公司產品之程式錯誤、病毒、特洛伊木馬或類似物；及/或 (VI) 任何內容之錯誤或遺漏，或因您使用透過本公司產品所發布、電子郵件傳送、傳輸或以其他方式提供之任何內容而產生之任何種類之損失或損害，無論基於保證、契約、侵權或任何其他法律理論，且無論本公司是否已被告知該等損害之可能性。上述責任限制應在適用司法管轄區法律允許之最大範圍內適用。

在任何情況下，本公司對您因所有損害、損失及訴訟原因所負之總責任，不得超過您為本產品所支付之金額（如有者）。

7. 賠償責任

您同意就因下列情形所生或與之相關之任何及所有索賠、損害、損失、責任、費用及支出（包括合理律師費），對 Amnaya Life LLC 及其高級職員、董事、員工、代理人及關聯企業進行賠償、辯護並使其免受損害：(i) 您對本公司產品之使用；(ii) 您違反本條款；(iii) 您違反任何適用法律或法規；或 (iv) 您侵害任何第三方之智慧財產權或其他權利。此賠償義務於本條款終止及您停止使用本公司產品後仍繼續有效。

8. 隱私權

我們致力於保護您的隱私。本隱私權政策已納入本條款與細則並構成其一部分，說明我們如何收集、使用及揭露您的個人資料。請您仔細閱讀本隱私權政策。

9. 條款修改

我們保留隨時修改本條款與細則之權利。若我們對本條款與細則進行重大變更，將透過電子郵件或於本公司網站公告通知您。您於接獲該通知後繼續使用本公司產品，即表示您接受修改後之條款與細則。

11. 不可抗力

任何一方因超出該方合理控制範圍之事件，包括但不限於天災、自然災害、流行病、疫情、政府行為、戰爭、恐怖主義、內亂、勞工罷工、網際網路服務供應商故障、停電或其他類似事件（以下稱「不可抗力事件」），致使本條款與細則下之履行失敗或延遲，該方不負任何責任。

若不可抗力事件導致我們履行本條款與細則下任何義務延遲超過三十（30）連續日，任一方得以書面通知他方終止受影響之服務。在此情況下，我們將依據特定產品條款提供適當補救措施，包括但不限於訂閱暫停、延長或按比例退款（如適用）。

我們將合理努力通知您任何可能影響我們服務之不可抗力事件，並將盡力於合理可行之時間內恢復正常營運。

12. 可分割性

若本條款與細則任何條文經有管轄權之法院認定為無效、非法或無法強制執行，該條文應視為自本條款與細則中分離，剩餘條文仍應完全有效。該無效、非法或無法強制執行之條文，應由一有效、合法且可強制執行之條文替代，且該替代條文應最接近雙方原始意圖。

若任何條文之分離實質影響本條款與細則之根本目的或架構，雙方同意誠信協商，以替換該分離條文為雙方均可接受之替代方案。

13. 終止

13.1. Amnaya Life 終止權利

Amnaya Life 保留立即終止或暫停您使用本產品之權利，且無需事先通知或承擔任何責任，理由包括但不限於：

智慧財產權侵害：未經授權使用、複製、散布或分享本公司專有內容、資料或智慧財產權。

濫用行為：對本公司員工、講師或其他使用者進行騷擾、威脅或辱罵，不論透過本平台、電子郵件、社群媒體或其他任何通訊管道。

詐欺行為：從事詐欺交易、提供虛假資訊、使用未授權付款方式或試圖規避本公司付款系統。

違反條款：違反本條款與細則或隱私權政策之任何規定。

非法行為：將本產品用於任何非法目的或違反適用法律法規。

妨礙行為：干擾學習環境、妨礙其他使用者體驗或損害本教育社群之完整性之行為。

13.2. 終止之效力

終止時：

您對所有產品之存取權將立即被撤銷

您將喪失任何未使用之付費服務部分，且不予退款，惟本條款另有明文規定者不在此限

本條款授予您的所有授權將立即終止

您必須停止使用本公司智慧財產權，並刪除所有下載之資料。

13.3. 條款存續

以下條款於本條款終止後仍繼續有效：智慧財產權、責任限制、賠償義務、準據法及終止前所產生之付款義務。

14. 第三方平台依賴（Global Voice Club）

14.1. 第三方服務提供者

Global Voice Club 採用之第三方軟體平台，提供線上直播課程及互動學習體驗。本公司提供部分 Global Voice Club 服務之能力，依賴該第三方平台之可用性及功能。

14.2. 平台中斷及服務調整

若第三方軟體平台發生技術故障、停機或因任何原因無法使用：

即時回應：平台無法使用期間，我們將暫停所有 Global Voice Club 訂閱。停機期間不計入訂閱時間，您的訂閱期限將自動延長以補償中斷時間。

通知：我們將透過電子郵件及官網通知受影響會員重大平台問題，並定期更新服務恢復狀況。

長期停機：若第三方軟體平台連續停機超過三十（30）日，受影響會員可選擇：

繼續訂閱：等待平台恢復，訂閱期間持續暫停（不計入訂閱期限）。

部分退款：依當前計費週期剩餘訂閱時間按比例退款，自您選擇此選項之日起計算。退款不包含平台無法使用且訂閱暫停期間。

退款計算範例：若您擁有三個月訂閱，選擇部分退款時尚有60天剩餘，且平台停機20天（訂閱暫停期間），退款將依60天有效訂閱時間計算。

14.3. 替代服務提供

平台停機期間，我們得自行決定嘗試提供替代學習方案，例如：錄製課程存取、替代平台方案、延長社群支援、額外資源或教材。

惟我們無義務提供上述替代方案，且該等方案可能無法完全複製直播互動體驗。

14.4. 第三方服務責任限制

雖然我們將合理努力確保服務連續性，對於第三方平台故障、停機或服務終止所致之任何損害、損失或不便，我們不負任何責任。本公司責任僅限於本條款所明訂之補救措施。

14.5. 平台變更

若第三方軟體永久終止服務或本公司決定更換平台供應商，將至少提前三十（30）日通知 Global Voice Club 會員，並提供適當過渡方案，可能包括服務遷移、訂閱轉移或按比例退款。

15. 完整協議

本條款連同本公司隱私權政策及任何其他經明確援引納入之政策或協議，構成您與 Amnaya Life 就本條款標的事項之完整協議。本條款取代您與 Amnaya Life 之間就產品相關之所有先前或同時之溝通、陳述、協議及理解，無論口頭或書面。Amnaya Life 任何代表所作之任何聲明、陳述、保證或協議——無論係於網路研討會、社群媒體貼文、電子郵件、客服互動或其他任何溝通中——除非明確載明於本條款中，否則對 Amnaya Life 不具約束力。
