These Terms and Conditions ("Terms") govern your use of the website amnayalife.com (the "Website") and the purchase and use of any online courses, services, products, applications, and free or paid programs, including but not limited to the Global Voice Club Accelerator subscription plans (Starter, Growth and Fluency), the "90-Day International Life After Work: From Fear to Confident English Speaking" practical course, the Travel English module, the Amnaya Life AI speaking practice application (the "AI App"), the Global Voice Club live classes, the legacy English Speaking Course Accelerator plans (Pro and Lite), Amnaya Life courses, community memberships, and other related services (collectively, the "Products") offered by Amnaya Life LLC, a Wyoming limited liability company ("Amnaya Life," "we," "us," or "our").

By accessing the Website and/or purchasing or using any of our Products, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms or our Privacy Policy, you must immediately cease using our Website and Products.

Official Language:

These Terms are written in English. Any translation of these Terms is provided for convenience only. In the event of a conflict or discrepancy between the English version and any translated version, the English version shall prevail.

1. Governing Law and Jurisdiction

These Terms and your use of our Products shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. You irrevocably agree that the state and federal courts located in Wyoming shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or your use of our Products. The choice of Wyoming law is exclusive, and no other jurisdiction's laws, including any local laws of your country of residence, shall apply.

2. Eligibility and Account Registration

To purchase or access our Products, you must be at least 18 years of age or the age of majority in your jurisdiction. By purchasing or accessing our Products, you represent and warrant that you meet this eligibility requirement. We reserve the right to terminate your access to our Products if we discover that you are a minor.

To access certain features of our Products, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Payments, Billing, and Refund Policy

3.1. Fees and Payment Authorization

All fees for our Products are in U.S. Dollars unless otherwise stated. You authorize us to charge your selected payment method for all applicable fees. You are responsible for all charges incurred under your account, including applicable taxes, and you agree to pay all such charges in full.

You represent and warrant that you are the authorized user of the payment method used to purchase our Products. If you use a payment method that is not in your name, you represent and warrant that you have the express authorization of the account holder to use it.

3.2. Global Voice Club Accelerator Subscription Plans (Starter, Growth, Fluency) and Legacy English Speaking Course Accelerator Plans (Pro, Lite)

Effective September 1, 2026, Amnaya Life offers the Global Voice Club Accelerator in three subscription plans: Starter (3-month plan), Growth (7-month plan) and Fluency (12-month plan) (each a "Program plan"). The provisions of this Section 3.2 that refer to Accelerator Pro and Accelerator Lite continue to apply only to customers who purchased those plans before September 1, 2026 ("Legacy Plans"), including the automatic renewal of their Global Voice Club subscription on the terms they originally accepted. Legacy Plans are no longer available for new purchase.

3.2.1. Plan Descriptions

To help you understand the products and services offered by Amnaya Life, the following definitions apply throughout these Terms:

The Course refers to the "90-Day International Life After Work: From Fear to Confident English Speaking" pre-recorded online course. This is a self-paced video course designed to help you build English speaking confidence.

Global Voice Club refers to our live online English speaking practice classes, held weekly and led by instructors in a group setting. Global Voice Club operates as a recurring subscription service.

English Speaking Course Accelerator refers to the package that includes the Course along with complimentary access to Global Voice Club for an initial 3-month period. When you purchase an English Speaking Course Accelerator plan, your purchase covers the Course; access to Global Voice Club live classes is included at no additional cost for the first 3 months. By purchasing an Accelerator plan, you are automatically enrolled in the Global Voice Club subscription. The initial 3-month period is complimentary; thereafter, the subscription will automatically renew as a paid subscription unless cancelled in accordance with Section 3.2.5.

Global Voice Club Accelerator (the "Program") refers to Amnaya Life's English speaking subscription program. Each Program plan grants you, for the duration of your paid Subscription Term: (a) access to Global Voice Club live speaking classes; (b) access to the AI App; (c) access to the Course and the Travel English Module for the access period stated for your plan in Section 3.2.2; (d) access to the live-class replay library and the learning resources specified at the time of purchase; and (e) for Growth and Fluency plans only, access to the complete handout library. When you purchase a Program plan, you are purchasing a recurring subscription; the Course, Travel English Module, AI App, replays and learning resources are components of that subscription and are not sold separately.

AI App refers to the Amnaya Life AI speaking practice application, which provides AI-generated conversation scenarios, shadowing exercises and personalised feedback for daily speaking practice. The AI App is described further in Section 3.4.

Travel English Module refers to the pre-recorded "Travel English — 5 Essential Scenarios" mini-course included with every Program plan.

Subscription Term refers to the length of the subscription period you selected at purchase: 3 months (Starter), 7 months (Growth) or 12 months (Fluency). Each Subscription Term is paid in full, in advance, in a single payment, and automatically renews as described in Section 3.2.4.

Promotional Months refers to the additional months included in the Growth plan (6 months subscribed + 1 month at no additional charge = 7-month Subscription Term) and the Fluency plan (9 months subscribed + 3 months at no additional charge = 12-month Subscription Term). Promotional Months form part of the Subscription Term, have no separate cash value, are not refundable, cannot be exchanged, and do not carry over to any later term.

English Speaking Course Accelerator is offered in two plans:

・Accelerator Pro: Includes the Course with indefinite access, plus complimentary access to Global Voice Club live classes for 3 months (2 classes per week, 24 classes total), along with any additional bonus resources specified at the time of purchase.

・Accelerator Lite: Includes the Course with 10-month access, plus complimentary access to Global Voice Club live classes for 3 months (1 class per week, 12 classes total), along with any additional bonus resources specified at the time of purchase.

Any additional bonus resources specified at the time of purchase are provided as complimentary items included with your package.

For purchases made on or after September 1, 2026, the Global Voice Club Accelerator is offered in the following three Program plans:

・Starter (3-month plan): a 3-month Subscription Term. Includes Global Voice Club live classes (up to 3 per week) and the AI App for the Subscription Term; the Course and the Travel English Module with 1 year of access as described in Section 3.2.2; the replay library; and the 6 learning resources specified at the time of purchase.

・Growth (7-month plan): a 7-month Subscription Term (6 months subscribed plus 1 Promotional Month). Includes Global Voice Club live classes (up to 3 per week) and the AI App for the Subscription Term; the Course and the Travel English Module with permanent access as described in Section 3.2.2; the replay library; the 6 learning resources specified at the time of purchase; and the complete handout library.

・Fluency (12-month plan): a 12-month Subscription Term (9 months subscribed plus 3 Promotional Months). Includes Global Voice Club live classes (up to 3 per week) and the AI App for the Subscription Term; the Course and the Travel English Module with permanent access as described in Section 3.2.2; the replay library; the 6 learning resources specified at the time of purchase; and the complete handout library.

All three Program plans include the same live classes, AI App, Course, Travel English Module and learning resources. The plans differ only in the length of the Subscription Term, the resulting maximum number of live classes, the Course access period, and the inclusion of the complete handout library (Growth and Fluency only). Any additional bonus resources specified at the time of purchase are provided as complimentary items and may be changed or withdrawn for future purchasers at any time.

3.2.2. Course Access Duration

Amnaya Life reserves the right to modify, replace, or discontinue course content, features, or platform services when necessary.

・Accelerator Pro: Indefinite access to the pre-recorded course content for as long as the course remains available on the Amnaya Life platform, and subject to these Terms. If Amnaya Life permanently discontinues the course, Pro users will receive at least thirty (30) days' advance notice and will be given the opportunity to download available course materials prior to discontinuation.

・Accelerator Lite: Access to the pre-recorded course content for 10 months from the date of purchase. After 10 months, course access will expire automatically.

For Program plans purchased on or after September 1, 2026, the following access periods apply to the Course and the Travel English Module:

・Starter: Access to the Course and the Travel English Module for 1 year from the date of your initial purchase. This 1-year access period runs regardless of whether you renew: if you do not renew your 3-month Subscription Term, you keep access to the Course and the Travel English Module for the remainder of that year. If you continue your subscription beyond 1 year, access to the Course and the Travel English Module continues for as long as your subscription remains active. Access to Global Voice Club live classes, the AI App, the replay library and the learning resources ends when your paid Subscription Term ends.

・Growth and Fluency: Permanent access to the Course and the Travel English Module, meaning access for as long as the Course remains available on the Amnaya Life platform, subject to these Terms. This access continues after your subscription ends. If Amnaya Life permanently discontinues the Course, Growth and Fluency users will receive at least thirty (30) days' advance notice and will be given the opportunity to download available course materials prior to discontinuation. Access to the AI App, live classes, replays, learning resources and the complete handout library ends when your Subscription Term ends.

The word "permanent" (永久) as used on our Website and in these Terms means access for as long as the Course remains available on the Amnaya Life platform, as described above; it does not mean access in perpetuity independent of the platform.

3.2.3. Global Voice Club Class Access

Global Voice Club live classes are scheduled weekly. Your plan determines the number of classes you may attend per week:

Accelerator Pro: Up to 2 classes per week.

Accelerator Lite: Up to 1 class per week.

If you are unable to attend a scheduled live class, recorded versions of the classes will be made available for you to watch at your convenience.

For Program plans purchased on or after September 1, 2026: Global Voice Club live classes are currently scheduled three (3) times per week — on Monday, Wednesday and Friday at 20:00 Taiwan time (UTC+8). All Program plans (Starter, Growth and Fluency) may attend every scheduled live class during the Subscription Term, without prior booking and without any per-week limit. The maximum number of live classes per Subscription Term stated on our Website (up to 36 for Starter, up to 84 for Growth and up to 144 for Fluency) is an indicative maximum calculated from the published class calendar; it is not a guaranteed number of classes.

Class schedules, times, durations, formats, topics and instructors may be changed by Amnaya Life from time to time, and live classes may be paused on Taiwan public holidays and during scheduled breaks announced to members in advance. Live classes that you do not attend, for any reason, do not roll over to a later period, are not refunded and have no cash value. Recordings of live classes are made available in the replay library for you to watch at your convenience during your Subscription Term (and, for Growth and Fluency plans, together with the complete handout library).

3.2.4. Automatic Renewal of Global Voice Club Subscription

Your Accelerator plan includes a complimentary 3-month Global Voice Club access period. At the end of this initial complimentary period, your Global Voice Club subscription will automatically renew as a paid subscription. By purchasing an Accelerator plan, you acknowledge and authorize us to automatically charge the applicable renewal fee to your selected payment method upon expiration of the complimentary period and at the end of each subsequent 3-month subscription period thereafter. The renewal fee will be the same amount as your initial Accelerator package purchase price — which already reflects a discounted rate that includes Global Voice Club access — and will provide continued access to Global Voice Club live classes for an additional 3-month period based on the same plan tier (Pro or Lite) you originally purchased. For clarity, the renewal charge is for the continuation of your Global Voice Club subscription service; it does not constitute a new purchase of the pre-recorded course.

Upon renewal, course access terms remain unchanged (indefinite access for Pro; subject to the original 10-month expiration for Lite).

For Program plans purchased on or after September 1, 2026: Your Program plan is a recurring subscription. Your initial payment covers your full Subscription Term (3 months for Starter, 7 months for Growth or 12 months for Fluency, including any Promotional Months). At the end of each Subscription Term, your subscription will automatically renew for a further Subscription Term of the same length as the plan you originally purchased, and you authorize us to automatically charge your selected payment method at the start of each renewed Subscription Term, unless you cancel in accordance with Section 3.2.5 before your scheduled renewal date.

Renewal is charged on the date your current Subscription Term expires, at the same time of day as your original purchase. For example, if you purchase a 3-month plan on September 30 at 15:00, your next charge will occur on December 30 at 15:00.

The renewal fee is the same amount as your initial Subscription Term payment — that is, the amount actually charged to you at checkout after any promotional or coupon discount applied to that purchase, as shown on your order confirmation. Our list prices are currently US$333.00 per 3-month term (Starter), US$666.00 per 7-month term (Growth) and US$999.00 per 12-month term (Fluency); a promotional code may reduce the amount you pay (for example, to US$316.35, US$632.70 and US$949.05 respectively with a 5% code). Your renewal price is locked at the amount you actually paid at your initial purchase for as long as your subscription remains continuously active; it will not be increased for you while your subscription remains active, even if the price for new customers changes. Any promotional discount applied to your initial purchase is carried over to your renewals on the same basis.

Each renewal is a continuation of your existing subscription, not a new purchase. Each renewal continues your access to Global Voice Club live classes, the AI App, the replay library and the learning resources (and, for Growth and Fluency, the complete handout library) for the renewed Subscription Term. Access to the Course and the Travel English Module follows Section 3.2.2. For clarity, a renewal charge is for the continuation of your Program subscription; it does not constitute a new purchase of the Course.

As a courtesy, we will send a reminder email to the email address on your account before each scheduled renewal. Non-receipt of a reminder email (for example because of spam filtering or an outdated email address) does not affect the validity of the renewal charge, and it remains your responsibility to cancel before your renewal date if you do not wish to continue.

3.2.5. Cancellation of Global Voice Club Subscription

You may cancel your Global Voice Club subscription at any time. Cancellation must be done by the user through the Amnayalife client-portal only, which can be accessed via: https://pay.amnayalife.com/p/login/dRm4gy5cycuQ0drfbx04800. To avoid being charged when your subscription transitions from the complimentary period to a paid subscription, or to avoid being charged for subsequent renewal periods, cancellation must be completed prior to the day of your scheduled renewal date.

Upon cancellation of the Global Voice Club subscription:

If cancelled during the initial complimentary period: your access to Global Voice Club live classes will continue until the end of the 3-month complimentary period. No charges will be applied.

If cancelled during a paid subscription period: your access to Global Voice Club live classes will continue until the end of your current paid subscription period.

In either case, your access to the pre-recorded course content will remain active according to your plan terms (indefinite access for Pro; until the 10-month expiration for Lite).

Once a renewal payment has been processed, it is final and non-refundable. You may cancel your subscription at any time to prevent future renewal charges, but no refund will be issued for any billing period that has already been charged.

For Program plans purchased on or after September 1, 2026: You may cancel your Program subscription at any time. Cancellation must be completed by you through the Amnayalife client portal at https://pay.amnayalife.com/p/login/dRm4gy5cycuQ0drfbx04800 before your scheduled renewal date. There is no cancellation fee and no minimum contract beyond the Subscription Term you have already paid for. Upon cancellation: your access to Global Voice Club live classes, the AI App, the replay library and the learning resources (and, for Growth and Fluency, the complete handout library) continues until the end of your current paid Subscription Term and then ends; your access to the Course and the Travel English Module continues according to Section 3.2.2 (until the 1-year expiry for Starter; permanently, as defined in Section 3.2.2, for Growth and Fluency). Cancellation stops future renewal charges only; it does not entitle you to any refund, full, partial or pro-rated, of the Subscription Term already paid for, except as expressly provided in Section 3.3.1.A.

3.3. Refund Policy

Amnaya Life is committed to providing high-quality digital learning resources while respecting the rights and interests of every student. To ensure fairness for our platform and other users, we establish the following refund policy, with specific terms for each product offering:

3.3.1. For the "90-Day International Life After Work: From Fear to Confident English Speaking" Course, the legacy English Speaking Course Accelerator plans (Pro, Lite), and the Global Voice Club Accelerator Program plans (Starter, Growth, Fluency)

Effective April 10, 2026, the refund policy for this course has been updated. Section 3.3.1.A below applies to all purchases made on or after April 10, 2026. Section 3.3.1.B applies to purchases made before April 10, 2026.

Section 3.3.1.A also applies to all initial purchases of a Global Voice Club Accelerator Program plan (Starter, Growth or Fluency) made on or after September 1, 2026. It applies to the initial Subscription Term payment only; subscription renewal charges are governed by Section 3.2.4 and are non-refundable.

3.3.1.A. Peace of Mind Purchase Refund Policy — 安心購退款規範 (INITIAL PURCHASE ONLY) (Effective for purchases made on or after April 10, 2026)

IMPORTANT — INITIAL PURCHASE ONLY. This Peace of Mind refund policy applies only to your first purchase of the Course or of a plan. It does not apply to any subscription renewal charge. Every renewal charge, once processed, is final and non-refundable, and no refund — full, partial or pro-rated — is available for a renewal under any circumstances. If you do not wish to be charged for a further term, you must cancel before your renewal date in accordance with Section 3.2.5.

The following refund provisions apply to (i) all purchases of the Course or a legacy English Speaking Course Accelerator plan made on or after April 10, 2026, and (ii) all initial purchases of a Global Voice Club Accelerator Program plan (Starter, Growth or Fluency) made on or after September 1, 2026. For Program plans, the amount eligible for refund is the initial Subscription Term payment you actually paid — that is, the list price for your plan (currently US$333.00 for Starter, US$666.00 for Growth and US$999.00 for Fluency) less any promotional or coupon discount applied at checkout. If you have a refund-related request, please read the following provisions carefully:

▶ Refund Eligibility

To be eligible for a refund, all of the following conditions must be met:

The refund request is submitted within 7 calendar days of purchase (the purchase date counts as Day 1).

You have viewed no more than 3 paid content items from the pre-recorded course (an "item" means a single unit of content, such as one video, one article, or another discrete paid content unit; any content that becomes viewable or accessible only after purchase counts towards this limit).

If your purchase includes an English Speaking Course Accelerator plan, you have attended no more than 1 live class.

If all conditions above are met, you are eligible for a full refund of the purchase amount, subject to applicable deductions as described below.

8 or more days after purchase: no refund is available under any circumstances.

For the purposes of this Section: a "live class" means any Global Voice Club live class, including the Monday open class, and the live-class condition above applies to all Program plans (Starter, Growth and Fluency) as well as to legacy Accelerator plans. Use of the AI App during the 7-day period does not affect your refund eligibility.

Because a substantial amount of free preview videos and educational materials are provided prior to purchase, and because online video courses and digital resources can be easily downloaded and stored, they constitute "digital content not provided through tangible media or online services completed upon delivery." As such, they are not subject to the standard 7-day cooling-off period applicable to physical goods. All refund procedures will be handled in accordance with this Refund Policy.

▶ Global Voice Club Live Classes (真人實戰課)

Access to Global Voice Club live classes during the initial 3-month complimentary period is provided at no additional cost as part of your Accelerator purchase. Because this access is complimentary, no separate refund applies to the Global Voice Club component. Once the complimentary period ends and the subscription transitions to a paid subscription, all paid subscription fees are non-refundable once processed.

▶ Program Plans (Starter, Growth, Fluency) — No Partial or Pro-Rated Refunds

For Program plans, Global Voice Club live classes are not a complimentary add-on; they are part of the subscription you have paid for. Your initial payment covers your entire Subscription Term (3, 7 or 12 months), including any Promotional Months. If you meet all of the eligibility conditions above within the 7-day period, you may request a refund of your initial Subscription Term payment (less the processing fee described below). From Day 8 onward, no refund of any kind is available — whether full, partial or pro-rated for unused weeks or months of your Subscription Term — regardless of how much of the Subscription Term remains, how many live classes you have attended, or whether you have used the AI App or the Course. You may cancel at any time to stop future renewals (Section 3.2.5), but cancellation does not create any right to a refund of the current Subscription Term.

▶ Effect of Course Refund on Accelerator Plans

If a refund is approved for an English Speaking Course Accelerator plan (Pro or Lite), all access — including the pre-recorded course, complimentary Global Voice Club live classes, and any bonus resources — will be immediately revoked upon processing of the refund. The Global Voice Club subscription enrollment will also be cancelled.

If a refund is approved for a Global Voice Club Accelerator Program plan (Starter, Growth or Fluency), all access — including the Course, the Travel English Module, Global Voice Club live classes, the AI App, the replay library, the learning resources, the complete handout library and any bonus resources — will be immediately revoked upon processing of the refund, and your Program subscription will be cancelled.

▶ Subscription Renewal Charges

All Global Voice Club subscription renewal charges (i.e., any charges incurred after the initial complimentary period), once processed, are final and non-refundable. Renewal charges are for the continuation of the Global Voice Club subscription service and are separate from the initial course purchase. If you no longer wish to continue your subscription, you must cancel prior to the day of your next scheduled renewal date through the Amnayalife client-portal as described in Section 3.2.5.

For Program plans, all subscription renewal charges (i.e., every charge made at the start of a renewed 3-, 7- or 12-month Subscription Term), once processed, are final and non-refundable. The 安心購 Peace of Mind refund policy applies only to your first purchase of a Program plan; it does not apply to any renewal. If you no longer wish to continue your subscription, you must cancel before your next scheduled renewal date through the Amnayalife client portal as described in Section 3.2.5.

｜Refund Processing Fee｜

Upon refund approval, the refund amount will be processed within 14 business days. A 4% processing fee will be automatically deducted from all refunds. This fee covers the necessary costs incurred by third-party payment processors during the payment and refund process, and is not an additional fee charged by the platform.

｜Refund Calculation｜

The refund amount is calculated as the Order Amount (the amount actually paid) minus the 4% processing fee.

｜Refund Timeline｜

The time for students to receive their refund may vary depending on the refund application date and payment method used. Refunds involve third-party payment processors and banking institutions, whose processing times may differ.

Customer service will process your request during business hours.

3.3.1.B. Legacy 30-Day Satisfaction Guarantee (For purchases made before April 10, 2026)

The following 30-Day Satisfaction Guarantee applies only to purchases of the "90-Day International Life After Work: From Fear to Confident English Speaking" course and/or English Speaking Course Accelerator plans made before April 10, 2026. For purchases made on or after April 10, 2026, please refer to Section 3.3.1.A above.

This 30-day "satisfaction guarantee mechanism" applies to the course and English Speaking Course Accelerator plans (Pro or Lite) purchased before April 10, 2026, and is available only to students who have completed all pre-recorded course modules content and assigned exercises, and still believe the course did not meet their expected outcomes.

Eligibility Requirements: Students who have fully participated in and completed all course modules and assigned exercises after purchase, but still believe the course failed to achieve expected results, may submit a refund request within the specified time limit.

Applications must include:

Complete and specific course learning records (including 100% viewing progress, interaction records, etc.)

All assigned exercise content (must be completed and submitted to the course platform prior to submitting the refund request)

Course completion certificate (or system records)

Clear and reasonable explanation of dissatisfaction

Complete refund application form provided by customer service

Refund requests must be submitted via email to [email protected] within 30 days of purchase with all required documentation. Applications without complete documentation will not be processed.

Effect of Refund on Accelerator Plans: If a refund is approved for a purchase made under an English Speaking Course Accelerator plan (Pro or Lite), all access — including the pre-recorded course, complimentary Global Voice Club live classes, and any bonus resources — will be immediately revoked upon processing of the refund. The refund covers the entire purchase amount (less applicable fees). The Global Voice Club subscription enrollment will also be cancelled.

Processing Timeline: Refunds will be reviewed within 14 business days. Upon approval, refund amounts will be processed within 14 business days, less a 4% bank transaction fee to cover processing costs.

Quality Assurance and Disqualifying Conditions: To ensure the legitimacy and integrity of our refund mechanism, the following circumstances will be considered ineligible for refunds, and Amnaya Life reserves the right to reject such applications:

Students who complete over 80% of course content within 7 days of purchase and lack continuous interaction records (such as not participating in course platform or designated community discussions, questions, or assignment discussions), or whose exercise content is obviously perfunctory, repetitive, superficial, and fails to meet substantial learning standards.

Students who never submitted practice assignments or interacted normally on official designated community platforms (such as course-specific groups) during the course period, but concentrated on submitting large amounts of assignments or practice content in a short time when applying for refunds — including but not limited to submitting more than five assignments within 24 hours before submitting the refund request — will be considered a formalistic act to meet refund conditions, and Amnaya Life reserves the right to determine that they did not substantially participate in learning and directly refuse refunds.

Viewing records showing extensive use of accelerated playback, skipping chapters, or only briefly fast-forwarding to the end of videos, with total viewing time clearly insufficient to complete normal learning processes.

Submitted assignment content that does not meet course requirements, is plagiarized, machine-translated, or fails to demonstrate personal learning progress.

Inability to supplement or provide reasonable and complete learning certification documents within the timeframe required by Amnayalife.

Students with multiple refund applications, abnormal consumption records, or other circumstances deemed by Amnayalife as abuse of the refund mechanism may have their refund applications rejected and may be permanently disqualified from future course purchases.

Amnayalife will conduct comprehensive reviews based on course platform records, community interaction records, practice assignment content, viewing behavior, and other multiple factors, and reserves full discretionary authority for final judgment of refund eligibility and amount approval.

Based on principles of good faith and experience protection, Amnayalife provides satisfaction guarantees as additional services, not legal obligations.

3.3.2. Payment Processing

All payments for Amnaya Life products and services are processed through Stripe, a third-party payment processor. When you make a purchase, your payment card information is collected and stored directly by Stripe in accordance with Stripe's security standards and policies. Amnaya Life does not have access to your full card number, as this information is encrypted and handled entirely by Stripe.

All prices are listed and charged in United States Dollars (USD). If your payment card is linked to a currency other than USD, your card issuer or bank may apply international transaction fees or currency conversion charges. These fees are imposed by your financial institution and are not controlled by or affiliated with Amnaya Life. Please consult your card issuer for details regarding any such fees.

3.3.3. 7-Day Free Trial Policy

From time to time, we may offer a 7-day free trial for the 1-month Global Voice Club membership.

A. Trial and Automatic Billing

The trial period begins on the day you sign up. If you do not cancel within the 7-day trial period, you will be automatically charged on the 8th day. This payment activates a 1-month recurring membership subscription.

B. No Refunds After Trial Period

The charge processed after the 7-day free trial is non-refundable. The trial period serves as your opportunity to evaluate the service risk-free.

C. Recurring Charges and Cancellation

Following the initial charge, your 1-month membership will automatically renew and be billed every month. You may cancel the subscription at any time. Cancellation will prevent all future charges. If you cancel after a payment has been made, your access will continue until the end of the 1-month period you have paid for, at which point your access will be revoked.

3.3.4. Legal Basis and Special Declaration

For Course Products: This course is an online digital content product classified as "digital content not provided through tangible media." Digital purchases are considered delivered upon access and are not subject to any unconditional return or cooling-off period that may apply to physical goods.

For Subscription Products: This product falls under the category of "digital content not provided through tangible media." Once you have paid and activated your membership, contract fulfillment has begun, and no unconditional withdrawal right applies. No full or proportional refunds are available.

For the Global Voice Club Accelerator Program Plans and the AI App: Each Program plan is a subscription to digital content and online services (live classes, the AI App, pre-recorded content and digital resources) that begin to be delivered immediately upon payment. Once you have paid and your access has been activated, performance of the contract has begun with your express consent, and no unconditional withdrawal right or cooling-off period applies. No full, partial or pro-rated refunds are available except as expressly set out in Section 3.3.1.A.

For Subscription Renewal Charges: Subscription renewal charges — whether for Global Voice Club or any other recurring service offered by Amnaya Life — are non-refundable once processed. By purchasing a product that includes a recurring subscription component, you acknowledge and agree that renewal charges will be automatically applied unless you cancel in accordance with the cancellation terms set forth in these Terms.

Based on principles of good faith and experience protection, Amnayalife provides satisfaction guarantees as additional services, not legal obligations.

3.3.5. General Refund Policy for Other Products

Due to the digital nature of our Products, which are delivered immediately upon purchase, we generally do not offer refunds except as expressly stated in specific product descriptions or as required by applicable law. Digital products cannot be "returned" in the traditional sense, as access and content have already been provided.

For the avoidance of doubt, subscription renewal charges for any recurring service (including but not limited to Global Voice Club) are not eligible for refund once the renewal payment has been processed, regardless of the product type or plan tier.

3.3.6. Refund Abuse Prevention

We reserve the right to refuse refunds if we detect abuse of our refund policy, including but not limited to:

Excessive refund requests from the same customer

Fraudulent activity or misrepresentation

Attempts to obtain refunds after substantial use of the product

Violation of our terms of use or intellectual property rights

Requesting refunds for subscription renewal charges that were clearly disclosed and agreed to at the time of initial purchase

Requesting a partial or pro-rated refund for unused time in a prepaid Subscription Term, or requesting a refund after cancelling a Program subscription outside the 7-day eligibility window

Any violation of these Terms and Conditions, including but not limited to the intellectual property rights outlined in Section 4, will result in the immediate termination of your account and access to all Products without a refund.

All refund applications must undergo review procedures, and Amnayalife reserves final decision rights. If students disagree with refund decisions, they may communicate further through customer service email but may not demand additional compensation or damages.

All refund decisions are final and at the sole discretion of Amnayalife.

3.4. AI Speaking Practice Application (AI App)

3.4.1. Access. Access to the AI App is included with every Program plan and is available only while your Program subscription is active. When your Subscription Term ends without renewal, or your subscription is cancelled or terminated, your access to the AI App ends at the end of the paid period. AI App access is personal to you and may not be shared.

3.4.2. Fair Use. "Unlimited" use of the AI App means use without a fixed daily cap for normal, personal language-learning purposes. We reserve the right to apply reasonable fair-use limits, and to suspend access, where usage is automated, shared between multiple people, used for any commercial purpose, or is otherwise abusive or inconsistent with personal learning use.

3.4.3. Nature of AI Feedback. The AI App uses artificial-intelligence technology to generate conversation scenarios, transcriptions, scores and feedback. AI-generated output may contain errors, inaccuracies or inappropriate suggestions. AI App feedback and scores are learning aids only; they are not an official assessment or certification of your English level and should not be relied upon as such. Section 6 (Disclaimer of Warranties and Limitation of Liability) applies to the AI App.

3.4.4. Devices and Third-Party Services. The AI App requires a compatible device, operating system and internet connection, and depends on third-party app stores, cloud, speech-recognition and AI providers. Availability of the AI App on a particular device or app store, and the continued availability of those third-party services, are outside our control. Section 14 (Third-Party Platform Dependency) applies to the AI App. Voice recordings, transcripts and other data you submit through the AI App are processed in accordance with our Privacy Policy.

4. Intellectual Property and License to Use

4.1. Ownership

All content included in our Products, including but not limited to text, graphics, logos, images, videos, audio, and software, is the property of Amnaya Life or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The Amnaya Life name and logo are trademarks of Amnaya Life LLC.

4.2. License to Use

When you purchase a Product, you are granted a limited, non-exclusive, non-transferable license to access and use the Product for your personal, non-commercial use. This license does not grant you any ownership rights in the Product. You may not:

Resell, reproduce, distribute, or otherwise share the Product with any third party.

Modify, create derivative works of, or otherwise alter the Product.

Remove any copyright, trademark, or other proprietary notices from the Product.

Any unauthorized use of our content may result in the immediate termination of your access to our Products and may subject you to civil and criminal penalties.

5. DMCA Notice and Takedown Procedure

Amnaya Life respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, we will respond expeditiously to claims of copyright infringement committed using our Website that are reported to our Designated Copyright Agent.

If you are a copyright owner, or are authorized to act on behalf of one, please report alleged copyright infringements taking place on or through the Website by completing the following DMCA Notice of Alleged Infringement and delivering it to our Designated Copyright Agent.

WE MAKE NO WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR PRODUCTS OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION PROVIDED THROUGH OUR PRODUCTS.

6.2. Limitation of Liability

IN NO EVENT SHALL AMNAYA LIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PRODUCTS, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR PRODUCTS, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR PRODUCTS BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree to indemnify, defend, and hold harmless Amnaya Life LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of our Products; (ii) your breach of these Terms; (iii) your violation of any applicable law or regulation; or (iv) your infringement of any intellectual property or other rights of any third party. This indemnification obligation shall survive the termination of these Terms and your use of our Products.

We are committed to protecting your privacy. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose your personal information. Please review our Privacy Policy carefully.

9. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our Website. Your continued use of our Products after such notice constitutes your acceptance of the modified Terms.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to an event beyond the reasonable control of such party, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, labor strikes, internet service provider failures, power outages, or other similar events ("Force Majeure Event").

If a Force Majeure Event prevents or delays our performance of any obligation under these Terms for a period of more than thirty (30) consecutive days, either party may terminate the affected services upon written notice to the other party. In such cases, we will provide appropriate remedies as outlined in the specific product terms, including but not limited to subscription pauses, extensions, or pro-rated refunds where applicable.

We will make reasonable efforts to notify you of any Force Majeure Event that may affect our services and will work diligently to resume normal operations as soon as reasonably possible.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.

If the severance of any provision materially affects the fundamental purpose or structure of these Terms, the parties agree to negotiate in good faith to replace the severed provision with a mutually acceptable alternative.

13. Termination

13.1. Termination by Amnaya Life

We reserve the right to terminate or suspend your access to our Products immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

Violation of Intellectual Property Rights: Unauthorized use, reproduction, distribution, or sharing of our proprietary content, materials, or intellectual property.

Abusive Behavior: Harassment, threats, or abusive conduct toward our staff, instructors, or other users, whether through our platforms, email, social media, or any other communication channel.

Fraudulent Activity: Engaging in fraudulent transactions, providing false information, using unauthorized payment methods, or attempting to circumvent our payment systems.

Breach of Terms: Violation of any provision of these Terms and Conditions or our Privacy Policy.

Illegal Activity: Using our Products for any illegal purpose or in violation of any applicable laws or regulations.

Disruptive Behavior: Conduct that disrupts the learning environment, interferes with other users' experience, or damages the integrity of our educational community.

13.2. Effect of Termination

Upon termination:

Your access to all Products will be immediately revoked

You will forfeit any unused portion of paid services without refund, except as specifically provided in these Terms

All licenses granted to you under these Terms will immediately cease

You must cease all use of our intellectual property and delete any downloaded materials.

13.3. Survival

The following provisions shall survive termination of these Terms: intellectual property rights, limitation of liability, indemnification obligations, governing law, and any payment obligations incurred prior to termination.

14. Third-Party Platform Dependency (Global Voice Club and AI App)

14.1. Third-Party Service Provider

Global Voice Club utilizes a third-party software platform, to deliver live online classes and interactive learning experiences. Our ability to provide certain Global Voice Club services depends on the availability and functionality of this third-party platform.

This Section 14 applies equally to the AI App, which depends on third-party app stores and on third-party cloud, speech-recognition and artificial-intelligence service providers, and to any other third-party platform used to deliver Products. References in this Section to "the third-party platform" include those services, and references to "Global Voice Club subscriptions" and "Global Voice Club members" include Program subscriptions and Program subscribers.

14.2. Platform Interruptions and Service Adjustments

In the event that the third party platform experiences technical difficulties, outages, or becomes unavailable for any reason:

Immediate Response: We will pause all active Global Voice Club subscriptions during the period when the platform is unavailable. No subscription time will be counted during platform downtime, and your subscription period will be automatically extended to account for the interruption.

Communication: We will notify affected members via email and our website about any significant platform issues and provide regular updates on the status of service restoration efforts.

Extended Outages: If the third party platform remains unavailable for more than thirty (30) consecutive days, we will offer affected Global Voice Club members the following options:

Continued Subscription: Wait for platform restoration with subscription remaining paused (no time counted against your subscription period).

Partial Refund: Receive a pro-rated refund based on the remaining subscription time in your current billing cycle, calculated from the date you choose this option. The refund will exclude any time during which the platform was unavailable and your subscription was paused.

Refund Calculation Example: If you have a 3-month subscription with 60 days remaining when you choose the partial refund option, and the platform was down for 20 days (during which your subscription was paused), your refund would be calculated based on the 60 remaining days of active subscription time.

Refund Calculation Example (Program plans): If you have a Fluency 12-month Subscription Term with 120 days remaining when you choose the partial refund option, and the platform was unavailable for 20 days (during which your subscription was paused), your refund would be calculated on the 120 remaining days of active subscription time, pro-rated against the amount actually paid for that Subscription Term. Promotional Months are counted as ordinary days of the Subscription Term for this calculation.

14.3. Alternative Service Delivery

During platform outages, we may, at our discretion, attempt to provide alternative learning opportunities such as: Recorded session access, Alternative platform solutions, Extended community support, Additional resources or materials.

However, we are not obligated to provide such alternatives, and they may not fully replicate the live interactive experience.

14.4. Limitation of Liability for Third-Party Services

While we will make reasonable efforts to ensure service continuity, we are not liable for any damages, losses, or inconvenience caused by third-party platform failures, outages, or discontinuation of services. Our liability is limited to the remedies specifically outlined in this section.

14.5. Platform Changes

If the third party platform discontinues its services permanently or we decide to change to a different platform provider, we will provide at least thirty (30) days' notice to Global Voice Club members and will offer appropriate transition options, which may include service migration, subscription transfers, or pro-rated refunds.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference herein, constitute the entire agreement between you and Amnaya Life with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, representations, agreements, and understandings, whether oral or written, between you and Amnaya Life regarding the Products. No statement, representation, warranty, or agreement made by any representative of Amnaya Life — whether in a webinar, social media post, email, customer service interaction, or any other communication — shall be binding upon Amnaya Life unless expressly set forth in these Terms.

自 2026年9月1日 起，Amnaya Life 提供三種 Global Voice Club Accelerator 訂閱方案：Starter（3 個月方案）、Growth（7 個月方案）及 Fluency（12 個月方案）（各稱「Program 方案」）。本第 3.2 條中涉及 Accelerator Pro 及 Accelerator Lite 之規定，僅繼續適用於 2026年9月1日 之前購買該等方案之客戶（「舊版方案」），包括其 Global Voice Club 訂閱依原接受條款自動續訂。舊版方案已不再開放新購買。

3.2.1. 方案說明

English Speaking Course Accelerator（英語口說課程加速計畫）係指包含課程及首 3 個月免費使用 Global Voice Club 之方案。購買 English Speaking Course Accelerator 方案時，您的購買費用涵蓋課程本身；Global Voice Club 直播課程之使用權於首 3 個月期間以免費方式提供，無需額外付費。購買 Accelerator 方案即自動加入 Global Voice Club 訂閱。首 3 個月為免費期間；此後，除非依第 3.2.5 條取消，該訂閱將自動續訂為付費訂閱。

訂閱期間係指您於購買時所選擇之訂閱期限：3 個月（Starter）、7 個月（Growth）或 12 個月（Fluency）。每一訂閱期間之費用以單筆付款預先全額支付，並依第 3.2.4 條自動續訂。

加贈月份係指 Growth 方案所含之額外月份（訂閱 6 個月 + 加贈 1 個月 = 7 個月訂閱期間）及 Fluency 方案所含之額外月份（訂閱 9 個月 + 加贈 3 個月 = 12 個月訂閱期間）。加贈月份為訂閱期間之一部分，無獨立現金價值，不予退款、不得折換，亦不得結轉至後續任何期間。

自 2026年9月1日 起之購買，Global Voice Club Accelerator 提供下列三種 Program 方案：

・Starter（3 個月方案）：3 個月訂閱期間。包含訂閱期間內之 Global Voice Club 直播課程（每週最多 3 場）及 AI App；依第 3.2.2 條享有 1 年使用權之課程及旅遊英文模組；錄影回放庫；以及購買時載明之 6 大學習資源。

・Growth（7 個月方案）：7 個月訂閱期間（訂閱 6 個月加 1 個加贈月份）。包含訂閱期間內之 Global Voice Club 直播課程（每週最多 3 場）及 AI App；依第 3.2.2 條享有永久使用權之課程及旅遊英文模組；錄影回放庫；購買時載明之 6 大學習資源；以及完整講義庫。

・Fluency（12 個月方案）：12 個月訂閱期間（訂閱 9 個月加 3 個加贈月份）。包含訂閱期間內之 Global Voice Club 直播課程（每週最多 3 場）及 AI App；依第 3.2.2 條享有永久使用權之課程及旅遊英文模組；錄影回放庫；購買時載明之 6 大學習資源；以及完整講義庫。

三種 Program 方案均包含相同之直播課程、AI App、課程、旅遊英文模組及學習資源，差異僅在於訂閱期間之長短、由此產生之直播課程最多堂數、課程使用期限，以及是否包含完整講義庫（僅限 Growth 及 Fluency）。購買時載明之其他附贈資源為免費贈品，本公司得隨時針對未來購買者變更或取消。

3.2.2. 課程使用期限

本平台得於必要時調整、更新、替換或停止部分課程內容、功能或服務。

・Accelerator Pro：預錄課程內容無限期使用，即課程於 Amnaya Life 平台上持續提供期間均可使用，並受本條款之規定。若 Amnaya Life 永久停止提供該課程，Pro 用戶將獲得至少三十（30）天之事先通知，並將有機會於停止提供前下載可用之課程資料。

・Accelerator Lite：預錄課程內容自購買日起可使用 10 個月。10 個月後，課程使用權將自動到期。

自 2026年9月1日 起購買之 Program 方案，課程及旅遊英文模組適用下列使用期限：

・Starter：自首次購買日起 1 年內可使用課程及旅遊英文模組。此 1 年使用期間不因是否續訂而受影響：若您未續訂 3 個月訂閱期間，於該 1 年剩餘期間內仍可繼續使用課程及旅遊英文模組。若您持續訂閱超過 1 年，課程及旅遊英文模組之使用權將於訂閱持續有效期間內繼續有效。Global Voice Club 直播課程、AI App、錄影回放庫及學習資源之使用權，於您已付費之訂閱期間結束時終止。

・Growth 及 Fluency：課程及旅遊英文模組永久使用權，即於課程持續在 Amnaya Life 平台上提供之期間內均可使用，並受本條款之規定。此使用權於訂閱結束後仍持續有效。若 Amnaya Life 永久停止提供該課程，Growth 及 Fluency 用戶將獲得至少三十（30）天之事先通知，並有機會於停止提供前下載可用之課程資料。AI App、直播課程、錄影回放、學習資源及完整講義庫之使用權於訂閱期間結束時終止。

本網站及本條款所稱之「永久」，係指如上所述於課程持續在 Amnaya Life 平台上提供之期間內均可使用；並非指不受平台存續影響之無限期使用。

3.2.3. Global Voice Club 課程參與

Global Voice Club 線上直播課程每週固定開課。您所選方案決定每週可參加之課程堂數：

Accelerator Pro：每週最多 2 堂課。

Accelerator Lite：每週最多 1 堂課。

若您無法參加預定之直播課程，將提供課程錄影供您自行安排時間觀看。

自 2026年9月1日 起購買之 Program 方案：Global Voice Club 直播課程目前每週安排三（3）場，於每週一、三、五 20:00（台灣時間，UTC+8）舉行。所有 Program 方案（Starter、Growth 及 Fluency）於訂閱期間內均可參加每一場預定直播課程，免預約且無每週堂數限制。本網站所載每一訂閱期間之直播課程最多堂數（Starter 最多 36 堂、Growth 最多 84 堂、Fluency 最多 144 堂）係依已公布之課程行事曆計算之參考上限，並非保證堂數。

本公司得不定期調整課程時間表、時段、時長、形式、主題及授課講師；直播課程於台灣國定假日及事先公告之排定休課期間得暫停。您因任何原因未參加之直播課程，不得結轉至後續期間、不予退款，亦無現金價值。直播課程錄影將提供於錄影回放庫，供您於訂閱期間內自行安排時間觀看（Growth 及 Fluency 方案並附完整講義庫）。

3.2.4. Global Voice Club 訂閱自動續訂

您的 Accelerator 方案包含首 3 個月免費使用 Global Voice Club 之權利。免費期間屆滿後，您的 Global Voice Club 訂閱將自動續訂為付費訂閱。購買 Accelerator 方案即表示您知悉並授權本公司於免費期間屆滿時，以及此後每 3 個月訂閱期間結束時，自動向您所選付款方式收取續訂費用。續訂費用與您初次購買 Accelerator 方案時支付之金額相同——該金額已為包含 Global Voice Club 使用權之優惠價格——並將依您原購方案等級（Pro 或 Lite）提供額外 3 個月之 Global Voice Club 直播課程使用權。為明確起見，續訂費用係為延續您的 Global Voice Club 訂閱服務，並不構成預錄課程之新購買。

續訂後，課程使用權條款維持不變（Pro 為無限期使用；Lite 依原始 10 個月到期日為準）。

自 2026年9月1日 起購買之 Program 方案：您的 Program 方案為定期續訂之訂閱服務。您的首次付款涵蓋完整訂閱期間（Starter 為 3 個月、Growth 為 7 個月、Fluency 為 12 個月，含任何加贈月份）。每一訂閱期間結束時，您的訂閱將自動續訂一個與您原購方案相同長度之訂閱期間，且您授權本公司於每一續訂期間開始時自動向您所選付款方式收費，除非您依第 3.2.5 條於預定續訂日前取消。

續訂費用將於您當前訂閱期間屆滿之當日收取，收取時間與您原始購買之時間相同。例如：若您於 9 月 30 日 15:00 購買 3 個月方案，下一次扣款將於 12 月 30 日 15:00 進行。

續訂費用與您首次訂閱期間之付款金額相同，即您於結帳時在扣除該筆購買所適用之任何優惠或折扣碼後實際被收取之金額，以您的訂單確認為準。本公司目前之定價為：Starter 每 3 個月一期 US$333.00、Growth 每 7 個月一期 US$666.00、Fluency 每 12 個月一期 US$999.00；優惠碼可能降低您實際支付之金額（例如使用 5% 折扣碼後分別為 US$316.35、US$632.70 及 US$949.05）。只要您的訂閱持續有效，您的續訂價格即鎖定為首次購買時實際支付之金額；即使新客戶之價格有所變動，亦不會於您訂閱持續有效期間對您調漲。您首次購買時適用之任何優惠折扣，將以相同基準延續適用於續訂。

每次續訂均為既有訂閱之延續，並非新的購買。每次續訂將延續您於續訂期間內對 Global Voice Club 直播課程、AI App、錄影回放庫及學習資源（Growth 及 Fluency 並含完整講義庫）之使用權。課程及旅遊英文模組之使用權依第 3.2.2 條辦理。為明確起見，續訂費用係為延續您的 Program 訂閱服務，並不構成課程之新購買。

作為服務之一環，本公司將於每次預定續訂前，寄送提醒電子郵件至您帳戶所登記之電子郵件地址。未收到提醒郵件（例如因垃圾郵件過濾或電子郵件地址未更新）不影響續訂收費之效力；若您不欲繼續訂閱，仍應自行於續訂日前完成取消。

3.2.5. Global Voice Club 訂閱取消

您可隨時取消 Global Voice Club 訂閱。取消訂閱須由使用者透過 Amnayalife 客戶入口網站自行操作，入口網站連結：https://pay.amnayalife.com/p/login/dRm4gy5cycuQ0drfbx04800。無論是為避免免費期間結束後轉為付費訂閱，或為避免被收取後續續訂費用，取消均須於預定續訂日之前完成。

取消 Global Voice Club 訂閱後：

若於首 3 個月免費期間內取消：您仍可使用 Global Voice Club 直播課程至免費期間結束，不會產生任何費用。

若於付費訂閱期間取消：您仍可使用 Global Voice Club 直播課程至當前已付訂閱期間結束。

無論何種情況，您的預錄課程使用權將依方案條款維持有效（Pro 為無限期使用；Lite 至 10 個月到期日止）。

續訂付款一經處理，即為最終且不可退款。您可隨時取消訂閱以防止未來續訂收費，但已收取之任何費用恕不退還。

自 2026年9月1日 起購買之 Program 方案：您可隨時取消 Program 訂閱。取消須由您透過 Amnayalife 客戶入口網站（https://pay.amnayalife.com/p/login/dRm4gy5cycuQ0drfbx04800）於預定續訂日前自行完成。無取消手續費，且除您已付費之訂閱期間外，無任何最低合約期限。取消後：您對 Global Voice Club 直播課程、AI App、錄影回放庫及學習資源（Growth 及 Fluency 並含完整講義庫）之使用權將持續至當前已付費訂閱期間結束為止，屆時終止；課程及旅遊英文模組之使用權依第 3.2.2 條辦理（Starter 至 1 年期限屆滿；Growth 及 Fluency 依第 3.2.2 條定義為永久）。取消僅停止未來之續訂收費；除第 3.3.1.A 條明文規定者外，取消不產生就已付費訂閱期間請求全額、部分或按比例退款之權利。

3.3. 退款政策

Amnaya Life 致力於提供高品質的數位學習資源，同時尊重每位學生的權利與利益。為確保本平台及其他使用者之公平性，特訂定以下退款政策，並針對各產品提供具體條款：

3.3.1. 「90天國際職場生活：從恐懼到自信英語口說」課程、舊版 English Speaking Course Accelerator 方案（Pro、Lite），及 Global Voice Club Accelerator Program 方案（Starter、Growth、Fluency）

自2026年4月10日起，本課程之退款政策已更新。下列第 3.3.1.A 條適用於2026年4月10日（含）之後之所有購買。第 3.3.1.B 條適用於2026年4月10日之前之購買。

第 3.3.1.A 條亦適用於 2026年9月1日（含）之後首次購買 Global Voice Club Accelerator Program 方案（Starter、Growth 或 Fluency）之所有訂單。該條僅適用於首次訂閱期間之付款；訂閱續訂費用依第 3.2.4 條辦理，不予退款。

若您購買的是 English Speaking Course Accelerator 方案，已參加之直播課程不得超過 1 堂。

如符合上述所有條件，您可獲得全額退款，惟須扣除下列適用之款項。

購買超過 8 日（含）：在任何情況下均不予退款。

本條所稱：「直播課程」係指任何 Global Voice Club 直播課程，包括週一公開課；上述直播課程條件同時適用於所有 Program 方案（Starter、Growth 及 Fluency）及舊版 Accelerator 方案。7 日期間內使用 AI App 不影響您的退款資格。

因開課前會提供大量試看影片與免費教材，且網路影音課程及電子資源具備易於下載與儲存之特性，屬於「非以有形媒介提供之數位內容或一經提供即為完成之線上服務」，不適用一般實體商品之 7 天鑑賞期相關規定，相關退費手續規範將依照本退款政策辦理。

首 3 個月免費期間之 Global Voice Club 直播課程使用權，係作為 Accelerator 方案購買之一部分免費提供，無需額外付費。因該使用權為免費提供，Global Voice Club 部分不另行適用單獨退款。免費期間屆滿後，訂閱轉為付費訂閱，所有已處理之付費訂閱費用均不予退還。

就 Program 方案而言，Global Voice Club 直播課程並非免費附贈項目，而是您所付費訂閱之一部分。您的首次付款涵蓋整個訂閱期間（3、7 或 12 個月），包括任何加贈月份。若您於 7 日期間內符合上述所有資格條件，得申請退還首次訂閱期間之款項（扣除下述手續費）。自第 8 日起，不提供任何形式之退款——無論係全額、部分，或就訂閱期間未使用之週數或月數按比例退款——不論訂閱期間尚餘多久、您已參加多少堂直播課程，或是否曾使用 AI App 或課程。您可隨時取消以停止未來續訂（第 3.2.5 條），惟取消不產生就當前訂閱期間請求退款之任何權利。

若 Global Voice Club Accelerator Program 方案（Starter、Growth 或 Fluency）之退款申請經核准，所有使用權——包括課程、旅遊英文模組、Global Voice Club 直播課程、AI App、錄影回放庫、學習資源、完整講義庫及任何附贈資源——將於退款處理後立即撤銷，您的 Program 訂閱亦將一併取消。

所有 Global Voice Club 訂閱續訂費用（即免費期間屆滿後產生之任何費用），一經處理即為最終且不可退款。續訂費用係為延續 Global Voice Club 訂閱服務，與初次課程購買分開計算。若您不再希望繼續訂閱，須依第 3.2.5 條款規定，於下一次預定續訂日之前透過 Amnayalife 客戶入口網站取消。

以下30天滿意保證僅適用於2026年4月10日之前購買「90天國際職場生活：從恐懼到自信英語口說」課程及/或 English Speaking Course Accelerator 方案之訂單。2026年4月10日（含）之後之購買，請參閱上方第 3.3.1.A 條。

本30天「滿意保證機制」（satisfaction guarantee mechanism）適用於2026年4月10日之前購買之課程及 English Speaking Course Accelerator 方案（Pro 或 Lite），僅限已完成全部預錄課程內容及所有指定作業練習，且仍認為課程未達預期效果之學生方可申請。

本機制僅適用於在期限內已完成全部預錄課程內容及所有指定作業練習，且仍認為課程未達預期效果之學生。

退款申請必須於購買日起30日內，透過電子郵件寄至 [email protected]，並附上所有必要文件。未附完整文件之申請將不予受理。

Accelerator 方案退款之效力：若依 English Speaking Course Accelerator 方案（Pro 或 Lite）購買之退款申請經核准，所有使用權——包括預錄課程、免費 Global Voice Club 直播課程及任何附贈資源——將於退款處理後立即撤銷。退款涵蓋全部購買金額（扣除適用手續費）。Global Voice Club 訂閱亦將一併取消。

處理時程：退款申請將於14個營業日內審核。經核准後，退款金額將於14個營業日內處理，並扣除4%銀行交易手續費以支付處理成本。

品質保證及不符合退款資格之情形：

為確保退款機制之合法性及完整性，以下情形將被視為不符合退款資格，Amnaya Life保留拒絕該等申請之權利：

學員於購買後7日內完成超過80%課程內容，且缺乏持續上課互動紀錄（例如未參與課程平台或指定作業繳交、提問或作業討論），或其練習內容明顯敷衍、重複、膚淺，未達實質學習標準。

學員於課程期間從未提交練習作業或正常互動於官方指定課程平台（如學員專屬群組），但於申請退款時短時間內集中提交大量作業或練習內容（包括但不限於於提交退款申請前 24 小時內一次性提交超過 5 份作業以上），該行為將視為形式主義以符合退款條件，Amnaya Life 保留判定其未實質參與學習並直接拒絕退款之權利。

觀看紀錄顯示大量使用加速播放、跳章或僅短暫快轉至影片結尾，總觀看時間明顯不足以完成正常學習程序。

提交之作業內容不符課程要求、抄襲、機器翻譯，或未能展現個人學習進度。

未能於Amnaya Life要求之期限內補充或提供合理且完整之學習證明文件。

學員有多次退款申請、異常消費紀錄或其他Amnaya Life認定為濫用退款機制之情形，將可能遭拒絕退款申請，並永久取消未來課程購買資格。

Amnaya Life將依據課程平台紀錄、社群互動紀錄、練習作業內容、觀看行為及其他多項因素進行綜合審核，並保留退款資格及金額核准之最終裁量權。

基於誠信原則及保障學習權益，Amnaya Life提供滿意保證作為附加服務，非法律義務。

3.3.2. 付款處理

Amnaya Life 所有產品及服務之付款均透過第三方付款處理商 Stripe 處理。當您進行購買時，您的付款卡資訊由 Stripe 依其安全標準及政策直接收集與儲存。Amnaya Life 無法存取您的完整卡號，該資訊由 Stripe 全程加密處理。

所有價格均以美元（USD）標示及收費。若您的付款卡所連結之貨幣非美元，您的發卡機構或銀行可能會收取國際交易手續費或貨幣兌換費用。該等費用由您的金融機構收取，與 Amnaya Life 無關，亦非由 Amnaya Life 控制。有關此類費用之詳情，請洽詢您的發卡機構。

3.3.3. 7天免費試用政策

不時地，我們可能會提供 Global Voice Club 1 個月會員資格之 7 天免費試用。

A. 試用期與自動扣款

試用期自您註冊當日開始。若您未於 7 天試用期內取消，系統將於第 8 天自動扣款。此筆付款即啟動 1 個月循環會員訂閱。

B. 試用期後不予退款

7 天免費試用期結束後所扣款項恕不退還。試用期係供您無風險評估本服務之機會。

C. 循環扣款與取消

首次扣款後，您的 1 個月會員資格將自動續約，並每月扣款一次。您可隨時取消訂閱。取消後將停止所有未來扣款。若您於付款後取消，您仍可使用至您已付費之 1 個月期限屆滿，屆時將終止您的使用權限。

3.3.4. 法律依據及特別聲明

針對課程產品：本課程為線上數位內容產品，歸類為「非透過有形媒介提供之數位內容」。數位商品於消費者取得存取權時即視為交付完成，不適用實體商品之任何無條件退貨或鑑賞期相關規定。

針對訂閱產品：本產品屬於「非透過有形媒介提供之數位內容」類別。消費者於付款並啟動會員資格後，即視為契約履行開始，無條件撤回權不適用。不提供全額或比例退款。

針對 Global Voice Club Accelerator Program 方案及 AI App：各 Program 方案為數位內容及線上服務（直播課程、AI App、預錄內容及數位資源）之訂閱，於付款後即開始提供。您付款且使用權啟動後，即視為經您明示同意而開始履行契約，不適用任何無條件撤回權或鑑賞期。除第 3.3.1.A 條明文規定者外，不提供全額、部分或按比例退款。

針對訂閱續訂費用：訂閱續訂費用——無論係 Global Voice Club 或 Amnaya Life 提供之任何其他定期續訂服務——一經處理即不予退款。購買包含定期續訂服務組成部分之產品，即表示您確認並同意續訂費用將自動收取，除非您依本條款規定之取消條款辦理取消。

基於誠信原則及保障消費者權益，Amnaya Life 提供滿意保證作為額外服務，非法律義務。

3.3.5. 其他產品一般退款政策

由於本公司產品具有數位性質，且於購買後即時交付，除非特定產品說明明確規定或適用法律另有要求，否則本公司一般不提供退款。數位產品無法以傳統方式「退貨」，因為使用權及內容已經提供。

為避免疑義，任何定期續訂服務（包括但不限於 Global Voice Club）之訂閱續訂費用，一經處理即不符合退款資格，不論產品類型或方案等級為何。

3.3.6. 退款濫用防範

我們保留拒絕退款之權利，若發現濫用退款政策，包括但不限於：

同一客戶過度申請退款

欺詐行為或虛假陳述

在產品已大量使用後仍試圖申請退款

違反我們的使用條款或智慧財產權

就初次購買時已明確揭露並同意之訂閱續訂費用申請退款

就已預付之訂閱期間內未使用之時間申請部分或按比例退款，或於 7 日退款資格期間外取消 Program 訂閱後申請退款

任何違反本條款與細則之行為，包括但不限於第4條所述之智慧財產權，將導致您的帳戶及所有產品使用權立即終止，且不予退款。

所有退款申請皆須經審核程序，Amnaya Life保留最終決定權。若學員對退款決定有異議，得透過客服電子郵件進行進一步溝通，但不得要求額外賠償或損害賠償。

所有退款決定為最終決定，且由Amnaya Life全權酌情決定。

3.4. AI 口說練習應用程式（AI App）

3.4.1. 使用權。每一 Program 方案均包含 AI App 之使用權，且僅於您的 Program 訂閱有效期間內可用。訂閱期間結束而未續訂、訂閱經取消或終止時，您對 AI App 之使用權於已付費期間結束時終止。AI App 使用權專屬於您本人，不得與他人共用。

3.4.2. 合理使用。AI App 之「無限次數」係指供正常、個人語言學習用途之使用，無固定每日上限。若使用行為涉及自動化操作、多人共用、任何商業用途，或其他濫用或與個人學習用途不符之情形，本公司保留施加合理使用限制及暫停使用權之權利。

3.4.3. AI 回饋之性質。AI App 使用人工智慧技術生成對話情境、逐字稿、評分及回饋。AI 生成之內容可能包含錯誤、不準確或不適當之建議。AI App 之回饋及評分僅為學習輔助工具，並非您英語程度之正式評量或認證，不應作為該等用途之依據。第 6 條（免責聲明及責任限制）適用於 AI App。

3.4.4. 裝置及第三方服務。使用 AI App 需具備相容之裝置、作業系統及網路連線，並依賴第三方應用程式商店、雲端、語音辨識及 AI 服務提供者。AI App 於特定裝置或應用程式商店之可用性，以及該等第三方服務之持續可用性，非本公司所能控制。第 14 條（第三方平台依賴）適用於 AI App。您透過 AI App 提交之語音錄音、逐字稿及其他資料，依本公司隱私權政策處理。

4. 智慧財產權與使用授權

4.1. 所有權

本公司產品中包含的所有內容，包括但不限於文字、圖形、標誌、影像、影片、音訊及軟體，均為Amnaya Life或其內容供應商之財產，並受美國及國際著作權、商標及其他智慧財產權法律之保護。Amnaya Life名稱及標誌為Amnaya Life LLC之商標。

4.2. 使用授權

當您購買產品時，您將獲得一項有限的、非專屬的、不可轉讓的授權，得以為個人非商業用途存取及使用該產品。此授權不賦予您對該產品之任何所有權。您不得：

轉售、複製、散布或以其他方式與任何第三方分享該產品。

修改、創作衍生作品或以其他方式變更該產品。

移除該產品上的任何著作權、商標或其他專有權利標示。

任何未經授權使用我們內容之行為，可能導致您對我們產品之存取權立即終止，並可能使您面臨民事及刑事處罰。

5. DMCA通知及下架程序

Amnaya Life 尊重他人之智慧財產權，並期望其使用者亦予以尊重。依據1998年《數位千禧年著作權法案》(Digital Millennium Copyright Act of 1998)，該法案全文可於美國著作權局網站 http://www.copyright.gov/legislation/dmca.pdf 查閱，對於經由本網站使用而被舉報之著作權侵害行為，我們將迅速回應並處理，並由指定著作權代理人負責相關事宜。

6. 免責聲明及責任限制

6.1. 免責聲明

本公司產品係以「現狀」("AS IS") 及「可用狀態」("AS AVAILABLE") 提供，且不附帶任何明示或暗示之保證。對於本公司產品是否不中斷或無錯誤，概不保證。對於使用本公司產品所可能取得之結果，或透過本公司產品所提供之任何資訊之準確性、可靠性或內容，本公司不作任何保證。

6.2. 責任限制

在任何情況下，Amnaya Life 及其高級職員、董事、員工或代理人，均不對您因下列任何情形所致之任何直接、間接、附帶、特殊、懲罰性或衍生性損害負責：(I) 內容之錯誤、失誤或不準確；(II) 因您使用及存取本公司產品所致之任何性質之人身傷害或財產損害；(III) 任何未經授權存取或使用本公司安全伺服器及/或其中所存放之任何及所有個人資訊及/或財務資訊；(IV) 任何對本公司產品之傳輸中斷或停止；(V) 任何由第三方傳輸至或透過本公司產品之程式錯誤、病毒、特洛伊木馬或類似物；及/或 (VI) 任何內容之錯誤或遺漏，或因您使用透過本公司產品所發布、電子郵件傳送、傳輸或以其他方式提供之任何內容而產生之任何種類之損失或損害，無論基於保證、契約、侵權或任何其他法律理論，且無論本公司是否已被告知該等損害之可能性。上述責任限制應在適用司法管轄區法律允許之最大範圍內適用。

在任何情況下，本公司對您因所有損害、損失及訴訟原因所負之總責任，不得超過您為本產品所支付之金額（如有者）。

7. 賠償責任

您同意就因下列情形所生或與之相關之任何及所有索賠、損害、損失、責任、費用及支出（包括合理律師費），對 Amnaya Life LLC 及其高級職員、董事、員工、代理人及關聯企業進行賠償、辯護並使其免受損害：(i) 您對本公司產品之使用；(ii) 您違反本條款；(iii) 您違反任何適用法律或法規；或 (iv) 您侵害任何第三方之智慧財產權或其他權利。此賠償義務於本條款終止及您停止使用本公司產品後仍繼續有效。

8. 隱私權

我們致力於保護您的隱私。本隱私權政策已納入本條款與細則並構成其一部分，說明我們如何收集、使用及揭露您的個人資料。請您仔細閱讀本隱私權政策。

9. 條款修改

我們保留隨時修改本條款與細則之權利。若我們對本條款與細則進行重大變更，將透過電子郵件或於本公司網站公告通知您。您於接獲該通知後繼續使用本公司產品，即表示您接受修改後之條款與細則。

11. 不可抗力

任何一方因超出該方合理控制範圍之事件，包括但不限於天災、自然災害、流行病、疫情、政府行為、戰爭、恐怖主義、內亂、勞工罷工、網際網路服務供應商故障、停電或其他類似事件（以下稱「不可抗力事件」），致使本條款與細則下之履行失敗或延遲，該方不負任何責任。

若不可抗力事件導致我們履行本條款與細則下任何義務延遲超過三十（30）連續日，任一方得以書面通知他方終止受影響之服務。在此情況下，我們將依據特定產品條款提供適當補救措施，包括但不限於訂閱暫停、延長或按比例退款（如適用）。

我們將合理努力通知您任何可能影響我們服務之不可抗力事件，並將盡力於合理可行之時間內恢復正常營運。

12. 可分割性

若本條款與細則任何條文經有管轄權之法院認定為無效、非法或無法強制執行，該條文應視為自本條款與細則中分離，剩餘條文仍應完全有效。該無效、非法或無法強制執行之條文，應由一有效、合法且可強制執行之條文替代，且該替代條文應最接近雙方原始意圖。

若任何條文之分離實質影響本條款與細則之根本目的或架構，雙方同意誠信協商，以替換該分離條文為雙方均可接受之替代方案。

13. 終止

13.1. Amnaya Life 終止權利

Amnaya Life 保留立即終止或暫停您使用本產品之權利，且無需事先通知或承擔任何責任，理由包括但不限於：

智慧財產權侵害：未經授權使用、複製、散布或分享本公司專有內容、資料或智慧財產權。

濫用行為：對本公司員工、講師或其他使用者進行騷擾、威脅或辱罵，不論透過本平台、電子郵件、社群媒體或其他任何通訊管道。

詐欺行為：從事詐欺交易、提供虛假資訊、使用未授權付款方式或試圖規避本公司付款系統。

違反條款：違反本條款與細則或隱私權政策之任何規定。

非法行為：將本產品用於任何非法目的或違反適用法律法規。

妨礙行為：干擾學習環境、妨礙其他使用者體驗或損害本教育社群之完整性之行為。

13.2. 終止之效力

終止時：

您對所有產品之存取權將立即被撤銷

您將喪失任何未使用之付費服務部分，且不予退款，惟本條款另有明文規定者不在此限

本條款授予您的所有授權將立即終止

您必須停止使用本公司智慧財產權，並刪除所有下載之資料。

13.3. 條款存續

以下條款於本條款終止後仍繼續有效：智慧財產權、責任限制、賠償義務、準據法及終止前所產生之付款義務。

14. 第三方平台依賴（Global Voice Club 及 AI App）

14.1. 第三方服務提供者

Global Voice Club 採用之第三方軟體平台，提供線上直播課程及互動學習體驗。本公司提供部分 Global Voice Club 服務之能力，依賴該第三方平台之可用性及功能。

本第 14 條同等適用於 AI App（其依賴第三方應用程式商店，以及第三方雲端、語音辨識及人工智慧服務提供者）及用於提供產品之任何其他第三方平台。本條所稱「第三方平台」包括該等服務；所稱「Global Voice Club 訂閱」及「Global Voice Club 會員」包括 Program 訂閱及 Program 訂閱者。

14.2. 平台中斷及服務調整

若第三方軟體平台發生技術故障、停機或因任何原因無法使用：

即時回應：平台無法使用期間，我們將暫停所有 Global Voice Club 訂閱。停機期間不計入訂閱時間，您的訂閱期限將自動延長以補償中斷時間。

通知：我們將透過電子郵件及官網通知受影響會員重大平台問題，並定期更新服務恢復狀況。

長期停機：若第三方軟體平台連續停機超過三十（30）日，受影響會員可選擇：

繼續訂閱：等待平台恢復，訂閱期間持續暫停（不計入訂閱期限）。

部分退款：依當前計費週期剩餘訂閱時間按比例退款，自您選擇此選項之日起計算。退款不包含平台無法使用且訂閱暫停期間。

退款計算範例：若您擁有三個月訂閱，選擇部分退款時尚有60天剩餘，且平台停機20天（訂閱暫停期間），退款將依60天有效訂閱時間計算。

退款計算範例（Program 方案）：若您持有 Fluency 12 個月訂閱期間，選擇部分退款時尚餘 120 天，且平台曾停機 20 天（訂閱暫停期間），退款將依 120 天有效訂閱時間，按該訂閱期間實際支付金額之比例計算。加贈月份於此計算中視為訂閱期間之一般日數。

14.3. 替代服務提供

平台停機期間，我們得自行決定嘗試提供替代學習方案，例如：錄製課程存取、替代平台方案、延長社群支援、額外資源或教材。

惟我們無義務提供上述替代方案，且該等方案可能無法完全複製直播互動體驗。

14.4. 第三方服務責任限制

雖然我們將合理努力確保服務連續性，對於第三方平台故障、停機或服務終止所致之任何損害、損失或不便，我們不負任何責任。本公司責任僅限於本條款所明訂之補救措施。

14.5. 平台變更

若第三方軟體永久終止服務或本公司決定更換平台供應商，將至少提前三十（30）日通知 Global Voice Club 會員，並提供適當過渡方案，可能包括服務遷移、訂閱轉移或按比例退款。

15. 完整協議

本條款連同本公司隱私權政策及任何其他經明確援引納入之政策或協議，構成您與 Amnaya Life 就本條款標的事項之完整協議。本條款取代您與 Amnaya Life 之間就產品相關之所有先前或同時之溝通、陳述、協議及理解，無論口頭或書面。Amnaya Life 任何代表所作之任何聲明、陳述、保證或協議——無論係於網路研討會、社群媒體貼文、電子郵件、客服互動或其他任何溝通中——除非明確載明於本條款中，否則對 Amnaya Life 不具約束力。
